- Revenue grew 28% overall: telehealth grew 19% and WorkSimpli grew 50%. About 95% of company revenue was described as recurring subscription revenue.
- Gross margin improved to 87.6%, primarily reflecting higher sales, improved telehealth pharmacy and shipping costs, lower product refunds and rebates, and Medifast collaboration revenue.
- Operating expenses rose 3% to $148.1 million. Lower selling and marketing expense and the absence of 2022 impairment charges were partly offset by higher general and administrative, customer service, and development costs.
- At year-end, cash was $33.1 million, current assets were $42.6 million, current liabilities were $34.8 million, and working capital was positive $7.8 million, versus a $20.1 million working-capital deficit in 2022.
- Total liabilities were $52.9 million. Avenue facility borrowings were $19 million outstanding at year-end; the facility’s carrying amount was $17.9 million net of debt discounts. Its rate was 13.25% at year-end, with interest-only payments through November 2024 and maturity in October 2026.
- Cash used for capitalized software development was $8.4 million in 2023. Cash from financing included Avenue proceeds, $10 million from Medifast for shares, and $6.2 million of net ATM stock-sale proceeds.
Material changes and notable transactions
- Medifast agreed to pay $10 million for collaboration-related services and platform support: $5 million was received and recognized as revenue in 2023, with two further $2.5 million installments scheduled for 2024, subject to the agreement’s terms. Separately, LifeMD issued 1,224,425 shares to a Medifast subsidiary for approximately $10 million.
- LifeMD entered a senior secured, convertible Avenue credit facility of up to $40 million, including $20 million of additional uncommitted capacity. The filing reports $19 million outstanding at year-end and compliance with facility covenants.
- Series B preferred stock was fully converted into common shares in 2023. Common shares outstanding increased during the year through conversions, equity sales, compensation awards, and other issuances.
- The Cleared acquisition terms were amended in 2023, removing earn-out payments and revising consideration and payment timing. In 2022, LifeMD recorded $8.9 million of goodwill and intangible-asset impairment charges and a $5.1 million reduction in contingent consideration; those items did not recur in 2023.
Outlook, risks, and unusual items
- Management expects revenue growth, improved operating efficiency, and a lower cash burn rate, and states it expects sufficient cash for the 12 months following the filing. It also expects losses to continue through 2024, though to improve. No specific revenue or earnings guidance was provided.
- Management cited $53.3 million available under the ATM agreement and $32.0 million under the shelf registration statement, but access to financing is not assured and future equity issuance could dilute shareholders. The filing also cites approximately $26.4 million of cash as of the filing date, below the $33.1 million reported at year-end.
- The Avenue facility requires at least $5 million of unrestricted cash and, beginning in 2023, at least $2 million of adjusted trailing six-month cash flow. The company reported covenant compliance at December 31, 2023.
- Key risks include persistent losses and execution risk in scaling the business; competition and customer retention; regulation of telehealth, prescribing, healthcare arrangements, advertising, and consumer health data; cybersecurity and third-party service disruptions; and dependence on pharmacies, providers, and other vendors.
- LifeMD disclosed a material weakness in internal control over financial reporting, including deficiencies in IT access/change/vendor controls and documentation and review of financial reporting controls. Management is remediating the issues. The auditor issued an adverse opinion on internal controls, while giving an unqualified opinion on the financial statements.
- The IRS asserted an approximately $1.9 million tax deficiency for 2019. LifeMD disputes the proposed deficiency in Tax Court and says an amended return it filed should resolve all or substantially all issues. The filing also describes prior legal disputes settled through stock issuances.
- Series A preferred stock carries an 8.875% cumulative dividend; $3.1 million of preferred dividends was reported for each year. LifeMD does not expect to pay common-stock dividends in the foreseeable future.
