Material changes, outlook, and risks
- Revenue growth remained modest year to date, while nine-month net loss widened. Management attributed customer spending delays and longer sales cycles to macroeconomic pressures, particularly in 2022 and the first half of 2023, and reported some improvement beginning in the second half of 2023.
- Key indicators weakened year over year: net revenue retention was 93% versus 96%; average revenue per top-20 pharmaceutical manufacturer was $2.08 million versus $2.27 million; and revenue per average full-time employee was $570,973 versus $618,711. Top-20 manufacturer customer penetration remained 90%, while their share of revenue declined to 59% from 65%.
- After quarter-end, on October 24, 2023, the company acquired Medicx Health for $95 million, subject to customary adjustments. The purchase was partly financed with a $40 million term loan; quarterly principal installments begin December 31, 2023, with remaining principal and interest due no later than the fourth anniversary of funding. Medicx management investors purchased approximately $10.5 million of OptimizeRx stock. The filing says the acquisition could materially affect 2023 and subsequent results and their comparability. Cash and cash equivalents were approximately $15.8 million at October 31, 2023.
- Management stated that existing cash and operating cash generation were expected to fund current operations for the next 12 months, while noting potential future financing needs for acquisitions, partnerships, capital expenditures, or working capital. The statement should be considered alongside the subsequent Medicx acquisition and new loan. No specific earnings or revenue guidance was provided.
- The company had $11.8 million of future minimum partner-payment commitments expected to be recorded in cost of revenue during 2023–2025. Revenue is concentrated among a relatively small number of pharmaceutical customers; management cites customer concentration, seasonality, macroeconomic conditions, competition, healthcare regulation, cybersecurity, and acquisition integration among risks.
- Management concluded disclosure controls and procedures were not effective at the reasonable-assurance level because of a previously disclosed material weakness in internal control over financial reporting. Remediation work with third-party service organizations continued. The company reported no material pending legal proceedings.
