Applied Optoelectronics Inc. (NASDAQ: AAOI ) stock fell more than 12% during Monday’s premarket session after the optical networking company launched a $600 million at-the-market equity offering.

The potential stock sale raised dilution concerns among investors. Broader market weakness also added pressure, with Nasdaq futures down 0.49% and S&P 500 futures off 0.12%.

Still, AAOI has gained 412.82% over the past 12 months. That outsized rally leaves the stock vulnerable to sharp pullbacks when investors reduce exposure to high-momentum names.

Launches $600 Million Stock Sale Program

Applied Optoelectronics entered into an equity distribution agreement Friday with Raymond James and Needham, according to a Form 8-K filed with the Securities and Exchange Commission.

The agreement allows Applied Optoelectronics to sell up to $600 million of common stock from time to time. The offering represents about 5.7% of the company’s equity value based on Friday’s closing price.

The shares may be sold through the Nasdaq Global Market, other existing trading markets, a market maker or other agreed methods. Applied Optoelectronics will determine the number of shares sold, the sales period and the minimum price for each placement.

The company is not required to sell shares under the program. It can also suspend sales at any time.

Raymond James and Needham will receive compensation equal to 2% of the gross sales price of shares sold through the program.

The potential increase in Applied Optoelectronics’ share count is weighing on investor sentiment. Issuing new stock can reduce existing investors’ ownership percentages and dilute per-share financial metrics.

The offering will end after all shares covered by the agreement are sold. However, Applied Optoelectronics or the sales agents can terminate the agreement earlier.

Applied Optoelectronics Technical Analysis

AAOI has broken its short-term trend but remains above its key long-term moving average.

The stock is trading 9.7% below its 20-day simple moving average and 15.1% below its 50-day SMA. That setup could keep pressure on rebound attempts until shares reclaim those levels.

However, AAOI remains 12.4% above its 200-day SMA. That suggests the longer-term uptrend has not fully broken.

The relative strength index stands at 48.89, which signals neutral momentum. The reading suggests the stock is neither overbought nor oversold.

The 20-day SMA has also fallen below the 50-day SMA, signaling weaker short-term momentum. However, the 50-day SMA remains above the 200-day SMA, maintaining a bullish longer-term alignment.

AAOI recorded a swing high in June and a swing low in July. The stock also broke below support in July. Traders could now watch whether Monday’s weakness pushes shares back toward that prior breakdown area.

Key resistance: $128.50, near the 50-day SMA of $128.90. Key support: $91.50, below the 200-day SMA of $97.42.

Top ETF Exposure

The Invesco Dorsey Wright Technology Momentum ETF (NASDAQ: PTF ) has a 3.63% weighting in AAOI. The Strive Small-Cap ETF (NYSE: STXK ) has a 0.38% weighting, while the State Street SPDR FactSet Innovative Technology ETF (NYSE: XITK ) has a 3.89% weighting.

Because AAOI is held by these funds, ETF inflows and outflows can contribute to buying or selling pressure in the stock.
