Revenue and earnings context. Six-month 2022 revenue included a $20.0 million Regeneron option-exercise fee for ADI-002 and $5.0 million from the collaboration’s research and development performance obligation. That obligation was completed in Q1, so no collaboration revenue was recorded in Q2. The six-month net loss was lower than the prior year largely because of this revenue; Q2 losses widened as revenue ceased and operating expenses rose. No meaningful product margin is reported.
Cash, liquidity and debt. At June 30, cash and cash equivalents were $260.6 million, down from $277.5 million at December 31, 2021; total current assets were $264.1 million and current liabilities $16.4 million. Six-month investing cash use was $5.5 million, mainly for facility construction; financing cash use was $1.0 million. Accumulated deficit was $186.2 million. The company reported no borrowings under its PacWest loan agreement, with $10.6 million available for term loans and $4.4 million of ancillary services outstanding under the facility’s $15.0 million aggregate cap. Operating lease liabilities totaled $22.4 million. Management expected existing cash to fund forecasted expenses, capital expenditures and debt service for at least 12 months from issuance of the statements.
Material changes and developments
- Q2 R&D expense increased 52% year over year, primarily from higher headcount, CMO and other external R&D costs, and CRO costs. G&A increased 30%, mainly from personnel costs and stock-based compensation.
- In April 2022, the FDA granted Fast Track Designation to ADI-001 for NHL. In June, the company reported positive interim Phase 1 dose-escalation data at ASCO.
- Regeneron exercised its option for ADI-002 in January, paying $20.0 million. Adicet declined to co-fund development; Regeneron is responsible for development, manufacturing and commercialization and owes Adicet high-single-digit royalties on potential net sales.
- The company moved operations to its Redwood City facility in June. Construction changes added approximately $5.3 million to the project budget for GMP cell-processing and vector-manufacturing suites and controlled-materials warehousing.
- Subsequent to quarter-end, the company sold 2,611,723 shares at $17.23 per share for approximately $45.0 million gross proceeds. The filing separately states that post-transaction cash, adjusted for sales-agent fees, was $304.3 million and that this capital was expected to fund operations into the first half of 2025.
Outlook, risks and other notable items
- Management expected at least one additional ADI-001 clinical update in the second half of 2022 and planned to file one new IND in 2023; the company also described a broader aim of one new IND every 12–18 months. These are expectations, not guaranteed outcomes.
- The company expects continuing significant losses and cash outflows, with substantial additional capital likely needed for development, manufacturing and commercialization. Its cash runway depends on assumptions that may prove incorrect.
- Key risks include early-stage clinical uncertainty and potential safety issues; dependence on third-party manufacturers and suppliers; scaling and validating cell-therapy manufacturing; clinical-trial enrollment or timing disruptions; regulatory uncertainty; and reliance on the Regeneron collaboration. COVID-19 and the Russia-Ukraine conflict could affect trials, supplies, operations or financing.
- Adicet said it had not experienced significant COVID-related operational or clinical-development disruption to date, while warning that future effects remained uncertain. No material legal proceedings were reported. Management concluded disclosure controls were effective and reported no material quarterly change in internal control over financial reporting.
Important facts for investors to verify
- Review the full ADI-001 interim dataset, trial design, patient follow-up, safety profile and timing of subsequent updates; the reported results were interim.
- Confirm the amount and terms of the post-quarter share sale and reconcile the $45.0 million gross proceeds with the filing’s $304.3 million adjusted cash and first-half-2025 runway statements.
- Track cash use, facility spending and the timing and cost of beginning manufacturing operations at Redwood City.
- Assess reliance on Regeneron-related revenue and potential royalties, including the status of any remaining collaboration options and the terms governing them.
- Monitor financing needs, clinical and regulatory milestones, manufacturing capacity, supply availability, and whether actual cash runway remains consistent with management’s estimates.
