Acorn Energy, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report; the supplied filing text does not provide standalone fourth-quarter results. Amounts below are in U.S. dollars unless stated otherwise.
Business context
Acorn is a holding company whose principal operating business, OmniMetrix, provides IoT monitoring and control products and services for power-generation equipment (PG) and cathodic-protection systems for gas pipelines (CP). Acorn owns 99% of OmniMetrix. PG represented 87% of 2023 revenue and CP 13%.
Financial performance and liquidity
| Metric | 2023 | 2022 |
|---|---|---|
| Revenue | $8.059 million | $7.000 million |
| Gross profit / margin | $6.004 million / 74% | $5.071 million / 72% |
| Operating income (loss) | $74,000 | $(629,000) |
| Net income (loss) attributable to Acorn shareholders | $119,000 | $(633,000) |

| Cash at year-end | $1.449 million | $1.450 million |
- Revenue increased 15%. PG revenue rose to $7.000 million from $5.894 million; CP revenue declined to $1.059 million from $1.106 million.
- Monitoring revenue increased 9% to $4.262 million. Hardware revenue rose to $3.797 million from $3.088 million.
- Gross margin improved to 74% from 72%; monitoring gross margin was 93% and hardware gross margin 54% in 2023.
- At December 31, 2023, working capital was negative $571,000. Current assets were $4.036 million and current liabilities $4.607 million. Deferred revenue totaled $5.584 million, including $4.034 million expected to be recognized in 2024; the company notes that recognizing this deferred revenue does not require significant cash outlay.
- Total liabilities were $6.275 million against total assets of $5.449 million, leaving a stockholders’ deficit of $826,000. The filing reports no interest-rate exposure related to debt and says its credit line was paid off in February 2021.
- Cash was $1.236 million on March 5, 2024. Management believes cash and expected operating cash generation are sufficient for at least 12 months from issuance of the audited financial statements.
Material changes and unusual items
- From September 1, 2023, updated hardware can operate separately from OmniMetrix monitoring services. Revenue, cost of sales and commissions for these new hardware products are recognized when shipped, rather than over the estimated three-year unit life. Monitoring fees continue to be recognized over the service period. This accounting change affects comparability and contributed to upfront hardware revenue recognition.
- In 2023, gross hardware revenue included $475,000 from sales of the new product versions and $259,000 from custom-designed units; neither category had comparable sales in 2022.
- Acorn completed a 1-for-16 reverse stock split in September 2023. Share and per-share figures in the filing have been adjusted retrospectively.
- Backlog was $5.6 million at year-end, primarily deferred revenue, compared with $6.2 million a year earlier. The company expects $4.0 million of the year-end backlog to be recognized in 2024.
- The filing reports no legal proceedings. The auditor issued an unqualified opinion on the financial statements and reported no critical audit matters; the auditor was not engaged to audit internal controls.
Outlook, management commentary and risks
- Management expects moderate R&D expense growth in 2024 and approximately 15% higher annual SG&A, citing engineering investment, compensation increases, hiring and other operating-cost inflation.
- A November 2023 reseller agreement with a large commercial generator dealer could, according to management, generate 2,500–3,000 monitoring connections and $1 million–$2 million in annual aggregate hardware, startup and monitoring revenue. Initial revenue was expected in the first quarter of 2024; these are expectations, not committed results.
- Management expects OmniMetrix to generate positive cash flow in 2024 and not to need working-capital support, but gives no assurance. Acorn may seek additional financing for corporate costs, investment or operating needs; financing availability and terms are uncertain.
- OmniMetrix owed Acorn $2.657 million at year-end for intercompany loans, accrued interest, dividends and advances. This balance is eliminated in consolidation; repayments depend on OmniMetrix generating sufficient cash.
- Key risks include a limited and potentially volatile OTCQB trading market, customer non-renewals and competition, reliance on third-party cellular and cloud infrastructure, cybersecurity and data-loss exposure, product and technology upgrade costs, and reliance on key management. One customer represented 25% of accounts receivable at year-end.
- Management concluded internal control over financial reporting and disclosure controls were ineffective at December 31, 2023 because of material weaknesses, including IT general-control deficiencies involving user access, program changes and vendor management, as well as insufficient resources. Management said the weaknesses did not cause material misstatements in the reported periods and described planned remediation.
- Acorn does not expect to pay common-stock dividends in the foreseeable future.
Important facts for investors to verify
- Whether the expected 2024 reseller rollout produces the projected connections and revenue, and how much of that revenue is recurring monitoring revenue.
- Whether operating cash generation and the $1.236 million cash balance reported March 5, 2024 support the 12-month liquidity assessment, given negative working capital and corporate cash needs.
- Whether management makes measurable progress remediating the disclosed material weaknesses, and whether future filings report any control-related misstatements.
- How the new hardware revenue-recognition policy affects reported revenue, margins, deferred revenue and cash conversion in subsequent periods.
- Customer retention, collection of the concentrated receivable, and the trend in deferred revenue and backlog.
- Actual 2024 R&D and SG&A growth versus management’s expectations, as well as the costs and terms of the new wireless-service and cloud-hosting agreements.
