Changes, outlook and notable items

  • Compared with FY2011, operating income rose 31% and operating margin expanded by 2 percentage points. Management attributed the improvement to revenue growth outpacing expense growth and cost controls.
  • Management forecast FY2013 revenue growth of approximately 10% and operating-margin expansion of approximately 130 basis points versus FY2012. It cautioned that weak global conditions, unemployment and limited customer credit could impede these targets.
  • Management plans continued investment in product development, suites and cloud, mobile and social capabilities. R&D expense was $566.5 million, or 26% of revenue. It expected FY2013 cost of revenue and operating expenses to rise in dollars but remain relatively consistent as a share of revenue.
  • FY2012 included $108.8 million of stock-based compensation and $70.3 million of acquisition-related intangible amortization. Restructuring produced a $1.3 million benefit; no goodwill impairment was recorded. Acquisitions, net of cash acquired, used $221.7 million, versus $13.5 million in FY2011.
  • The effective tax rate was 21%. Net deferred tax assets were $165.9 million; management’s realization depends on future taxable income in relevant jurisdictions.

Risks, contingencies and investor checks

  • Key exposures include uncertain global economic conditions, competition and technology shifts, foreign exchange, acquisition integration, and dependence on maintenance renewals and indirect distribution. Tech Data generated 17% of FY2012 revenue and represented 21% of year-end trade receivables.
  • Legal matters include intellectual-property, commercial, employment and other claims. Management did not expect pending matters to materially affect consolidated results, cash flows or financial position, but said an unfavorable outcome could materially affect a particular period; potential loss amounts were not estimable or were considered immaterial based on available information.
  • Verify whether FY2013 revenue and margin guidance was achieved, and assess the quality and recurrence of revenue growth, particularly maintenance renewals and suites adoption.
  • Review acquisition returns and integration, including the substantial increase in acquisition spending and goodwill, which reached $682.4 million.
  • Monitor operating cash conversion, receivables and collections (days sales outstanding rose to 61 from 55), as well as the Tech Data concentration and foreign-currency effects.
  • Assess the sustainability of earnings after stock-based compensation and acquisition amortization; GAAP diluted EPS was $1.22 versus management’s non-GAAP diluted EPS of $1.74.
  • Track tax-asset recoverability, unrecognized tax benefits of $201.1 million, and the potential tax cost of repatriating foreign earnings. The company reported $1,290.1 million of foreign earnings intended to remain indefinitely reinvested.
