Agenus Inc. — Q2 2023 Form 10-Q

Reporting period: Quarter and six months ended June 30, 2023. Agenus is a clinical-stage biotechnology company developing immuno-oncology therapies, cell therapies through MiNK, and vaccine adjuvants through SaponiQx. All financial amounts below are in U.S. dollars.

Cash used in operating activitiesNot separately presented$118.6 millionSix months: $95.8 million
  • Q2 revenue rose about 21% year over year, primarily because non-cash royalty revenue from the HCR royalty-sale arrangement was $22.1 million, versus $0.1 million. Six-month revenue rose about 3%; non-cash royalty revenue was $41.2 million versus $17.8 million.
  • Revenue is not a straightforward indicator of cash generation: royalties from GSK are remitted directly to HCR, while Agenus recognizes non-cash revenue and related non-cash interest expense under the accounting for that transaction.
  • R&D expense increased 32% in Q2 to $59.3 million and 33% for the six months to $116.4 million, mainly reflecting third-party program services and higher personnel costs. G&A expense was $20.4 million for Q2 and $38.7 million for the six months.
  • At June 30, cash, cash equivalents and short-term investments totaled $157.9 million, down $35.5 million from year-end 2022. Current assets were $170.7 million and current liabilities $204.1 million. Management said cash resources should meet liquidity needs for more than one year from issuance of the statements.
  • Debt principal was $13.6 million; the balance-sheet carrying amount was $13.3 million. The 2015 Subordinated Notes were extended to February 2025. The net liability for sold future royalties and milestones was $266.9 million.
  • Common shares issued increased to approximately 367.5 million at June 30 from 305.6 million at December 31, 2022. First-half at-the-market sales generated $102.8 million net proceeds from about 58.3 million shares. A further 13.2 million shares sold through August 4 generated $20.3 million net proceeds.

Margins are not a useful standalone measure for this clinical-stage, loss-making business; the filing does not present a clear operating or net margin measure. First-half operating cash use exceeded the prior-year period, notwithstanding equity financing proceeds.

Changes, outlook and risks

  • Program outlook: Agenus said it intended to file its first biologics license application for botensilimab plus balstilimab in colorectal cancer in 2024. The combination received FDA Fast Track designation in April 2023 for non-MSI-H/dMMR metastatic colorectal cancer without active liver involvement. Management cited a 20.9-month median overall survival result in a reported patient subgroup without active liver metastases; this is clinical-trial data, not an approved-product outcome.
  • Partnerships: Incyte notified Agenus of planned termination of the OX40 program, effective October 2023, and the GITR and undisclosed-target programs, effective May 2024; rights are expected to revert to Agenus. Agenus remains eligible for potential milestones and royalties under certain collaborations, but timing and realization are uncertain.
  • Liquidity and financing: The company expects continued significant losses and says it may adjust spending, reduce operations or discontinue activities to preserve cash. Potential financing sources include partnerships, milestone payments, asset sales, project financing and equity issuance. MiNK cash is not freely available to Agenus and requires specified subsidiary action or intercompany settlement.
  • Unusual accounting and items: First-half interest expense, net, rose to $35.1 million from $28.9 million, largely due to non-cash interest on the HCR arrangement and finance leases. The HCR arrangement’s estimated effective annual interest rate increased to 30.4%. Prior-year comparisons also included gains on asset sales and partial liability forgiveness that did not recur in 2023.
  • Commitments and risks: Estimated payments under clinical and other third-party provider agreements total $600.0 million over their terms, subject to patient enrollment and provider performance. Agenus had expensed $500.9 million and paid $480.6 million through June 30, 2023. Clinical development, regulatory approval, funding access and partner decisions remain material uncertainties. The company reported no material change to its 2022 Form 10-K risk factors and no material legal proceedings.
  • Controls: Management concluded disclosure controls were effective at quarter-end; no material change in internal control over financial reporting was reported.

Important facts for investors to verify

  • Whether cash burn, financing activity and available liquidity support the company’s stated runway, including the accessibility of subsidiary cash and future ATM dilution.
  • Clinical-trial evidence, patient subgroup definitions and regulatory progress supporting the planned 2024 botensilimab/balstilimab filing.
  • Actual timing and financial effects of Incyte program terminations and whether potential collaboration milestones are achieved.
  • The assumptions behind HCR royalty estimates, non-cash revenue and interest expense, and the implications of the reported 30.4% estimated effective annual rate.
  • Future R&D spending, clinical-provider commitments and the company’s ability to obtain additional financing or partnerships.
