Financial position and liquidity
- Cash was $10.969 at March 31, 2024, versus $10.262 at December 31, 2023. Working capital was negative $6.8, compared with negative $4.4 at year-end.
- Net cash increased $0.707 during the quarter. Investing outflows were $1.562, principally for facility expansion and preparation for new centers; financing outflows were $1.096.
- Debt carrying value was $71.178, including current debt of $2.656. The term loan’s stated interest rate was 7.83%; it matures in November 2027. The $5.0 revolving facility was undrawn, and the company reported covenant compliance.
- Cost of service was $18.042, or 37.9% of revenue, versus $18.017, or 39.3%. SG&A was $15.756, or 33.1%, versus $23.882, or 52.1%. Interest expense was $1.532; income tax expense was $3.451.
Material changes and unusual items
- Revenue increased 3.9%, with four de novo centers contributing to growth: centers rose from 23 to 27 and procedure rooms from 49 to 57. Total cases increased 2.9% and revenue per case increased 1.0%.
- At same centers, cases fell 10.2%; same-center revenue per case rose 0.4%. Management attributed the same-center case decline primarily to weaker performance across aesthetic and consumer retail markets, particularly among price-sensitive customers.
- SG&A fell 34.0%, substantially affected by a $10.4 cumulative reversal of stock-compensation expense after management concluded achievement of a revenue target for certain performance-based units was improbable. Reported equity-based compensation was a credit of $6.781, versus expense of $4.388 in Q1 2023. GAAP net income therefore should be considered alongside adjusted results.
- Advertising expense rose to approximately $8.4 from $6.1; total selling expenses were approximately $11.2 versus $8.6. Customer acquisition cost increased to approximately $2,990 per case from $2,360.
- Operating cash flow declined by $2.9, which management attributed to increased customer-acquisition investment. Interest expense declined partly following a $10.0 voluntary term-loan prepayment in September 2023.
Outlook, risks and contingencies
No numerical revenue or earnings guidance is provided. Management expects marketing and corporate-support costs to increase as the company expands, and intends to continue investing in sales and marketing. It believes operating cash flow and available revolver capacity will support working capital, planned capital expenditures and obligations for at least the next 12 months.
Risks highlighted include new-center openings and operating costs, competition (including weight-loss drugs), surgeon and supplier availability, medical-malpractice claims, legal and regulatory changes, inflation and macroeconomic conditions, and business disruption. The company is involved in ordinary-course legal matters, including professional-liability claims; it believes current proceedings are not expected to have a material adverse effect, but outcomes and insurance adequacy are not assured. Management reported disclosure controls were effective at a reasonable-assurance level and no material change in internal control over financial reporting during the quarter.

- Cash generation, negative working capital, debt service at the stated 7.83% rate, and continued compliance with credit covenants.
