Operating income$9.67 billion$10.26 billion-6%

Operating margin was approximately 41.4% of revenue, versus 43.2% in 2018. Cost of sales was 18.6% of revenue, up from 17.3%, reflecting unfavorable product mix and Otezla-related intangible amortization, partly offset by lower royalties and manufacturing costs. The effective tax rate was 14.2%, compared with 12.1%; the filing attributes the increase primarily to a prior-year tax benefit related to intercompany sales.

Fourth-quarter 2019 product sales were $5.88 billion, compared with $6.00 billion in fourth-quarter 2018. Quarterly net income was $1.70 billion versus $1.93 billion, and diluted EPS was $2.85 versus $3.01.

U.S. product sales fell 5% to $16.53 billion, while rest-of-world sales rose 11% to $5.67 billion. Major product movements included Neulasta sales down 28% to $3.22 billion, Sensipar/Mimpara down 69% to $551 million, and Prolia up 17% to $2.67 billion. “Other products” increased 49% to $4.96 billion, including contributions from launches and the Otezla acquisition. Management said lower net selling prices drove the overall sales decline, partly offset by higher unit demand.

Liquidity, debt and capital allocation

Cash, cash equivalents and marketable securities totaled $8.91 billion at year-end, down from $29.30 billion, primarily reflecting the Otezla acquisition and investment in BeiGene. Total debt was $29.90 billion, down from $33.93 billion; net debt was approximately $20.99 billion. Current assets were $18.44 billion and current liabilities $12.84 billion, implying a current ratio of approximately 1.44. Amgen reported $9.15 billion in operating cash flow, $618 million in capital expenditures and $13.62 billion cash paid for acquisitions, net of cash acquired. It repaid $4.51 billion of debt and returned $7.64 billion through share repurchases and $3.51 billion in dividends. The quarterly dividend paid in 2019 was $1.45 per share; a $1.60 dividend for first-quarter 2020 was declared. Management said available funds, operating cash flow and financing access should meet expected needs.

Material changes, outlook and notable developments

  • In November 2019, Amgen acquired worldwide Otezla rights for $13.4 billion cash. Otezla contributed $178 million in 2019 sales after acquisition.
  • In January 2020, Amgen acquired a 20.5% stake in BeiGene for approximately $2.8 billion and entered an oncology collaboration focused on China and development of 20 candidates.
  • Neulasta, EPOGEN and Sensipar faced material biosimilar or generic pressure. Neulasta sales declined amid lower price and demand; Sensipar’s U.S. composition-of-matter patent had expired and generic products entered the market.
  • Amgen launched U.S. biosimilars KANJINTI and MVASI; FDA approved AVSOLA. EVENITY received U.S. approval and European authorization. A phase 3 KYPROLIS combination study met its primary progression-free-survival endpoint; an FDA supplemental application was filed in January 2020.
  • Management expects net selling prices to continue declining in 2020. It specifically expected faster U.S. Aranesp sales declines and lower EPOGEN net selling price under its DaVita contract. Estimated 2020 capital spending was approximately $700 million. The filing does not provide a comprehensive numerical 2020 revenue or EPS forecast.
  • Other unusual or material matters include $47 million of restructuring costs in 2019, a $330 million IPR&D impairment in 2018, and a DOJ/OIG settlement in April 2019 concerning support for independent charitable organizations. The settlement amount is not clearly stated in the provided filing text; a five-year corporate integrity agreement applies.

Risks, contingencies and investor verification priorities

  • Pricing, reimbursement and formulary restrictions, potential U.S. drug-pricing reforms, and biosimilar/generic competition may reduce sales and margins.
  • Patent and other litigation remains significant, including disputes involving Repatha, ENBREL, Otezla, KYPROLIS and biosimilars. The filing says outcomes and potential losses in many matters cannot be estimated; an adverse outcome could materially affect results or cash flows.
  • The IRS is challenging profit allocations between U.S. entities and Puerto Rico for tax years 2010–2012. Amgen disputes the proposed adjustments; resolution could materially affect the financial statements. Gross unrecognized tax benefits were $3.29 billion, with $667 million of accrued interest and penalties.
  • Manufacturing continuity is exposed to Puerto Rico utility and disaster risks, concentrated suppliers and distribution channels. Three wholesalers accounted for 81% of worldwide gross revenues, and DaVita accounted for approximately 80% of EPOGEN sales.
  • Verify the sustainability of operating cash flow and dividends after major acquisitions and buybacks; the trajectory of net prices and sales for Neulasta, Sensipar, EPOGEN and other pressured products; Otezla integration and returns; and progress and regulatory outcomes for the pipeline.
  • Also verify the status and financial exposure of the IRS dispute, major patent and antitrust cases, the corporate integrity agreement, and operational resilience of Puerto Rico manufacturing. The auditor issued unqualified opinions on the financial statements and internal controls; Otezla was excluded from the internal-control assessment.
