Q3 revenue rose 13.7%, operating income increased 70.6%, and consolidated net income improved by $27.4 million. Nine-month revenue grew 10.9%; operating results and net income turned positive, largely reflecting the absence of the prior-year $262.8 million Opana ER antitrust litigation charge. Nine-month interest expense was $151.1 million, up from $111.3 million; management attributed the increase mainly to higher rates on variable-rate debt and greater revolving-facility borrowings.
Segments and revenue drivers
- Generics: Q3 revenue $390.9 million, up 11.6%; growth from new products, including biosimilars, and volume was partly offset by continued price erosion.
- Specialty: Q3 revenue $97.3 million, up 8.7%; Unithroid growth was partly offset by Rytary rebates of approximately $5.5 million tied to the Inflation Reduction Act. Excluding those rebates, Rytary revenue grew 6.5%.
- AvKARE: Q3 revenue $131.9 million, up 24.6%, driven by distribution and government-channel product introductions.
- Nine-month revenue included a non-recurring $21.0 million Generics customer order, with $11.0 million of related cost of goods sold.
Cash, debt and liquidity
- At September 30, cash and cash equivalents were $86.9 million; restricted cash was $8.7 million. Current assets were $1,456.1 million and current liabilities were $760.6 million.
- Nine-month operating cash flow was $209.8 million, compared with $88.4 million in 2022. Investing cash outflow was $37.5 million; financing cash outflow was $111.7 million. Inventory used $103.1 million of cash, while accounts receivable changes provided $49.1 million.
- Term loans totaled $2,581.1 million gross; revolving credit borrowings were $76.0 million, and a related-party note payable was $41.0 million. The term loan matures in May 2025 and the Rondo term loan in January 2025. The company reported $275.9 million available under its New Revolving Credit Facility and $22.0 million under the Amended Rondo facility at quarter-end.
- Management said liquidity sources were sufficient for planned operations and obligations over the next 12 months, while noting dependence on operating conditions, product demand and satisfactory future borrowing terms. Refinancing syndication for the Amended Term Loan began October 24, with closing targeted in Q4 2023.
Outlook, risks and notable items
- Management estimated 2023 capital expenditures of $50–$60 million and inflation-related cost increases of approximately $15 million for 2023, excluding rising interest rates. The filing does not provide a clear revenue or earnings guidance range.
- Management expected a $50.0 million Opana ER settlement payment on January 17, 2024, in addition to debt interest and principal, lease and other contractual payments. The company had paid $215.0 million of the $265.0 million settlement by September 30.
- For IPX203, the FDA issued a complete response letter in June seeking additional support regarding carbidopa. After an October meeting, the FDA requested a QT cardiac-safety study. The company was completing the study and expected to resubmit in early 2024. No impairment was recorded, but management warned that changes in assumptions could cause future impairment of the IPX203 asset or Specialty goodwill.
- Legal matters remain material uncertainties, including prescription-opioid litigation, generic drug pricing antitrust litigation, and government investigations. The company recorded $4.1 million of opioid-litigation charges in the first nine months of 2023; it said losses on certain remaining cases were not probable and estimable.
- Customer and receivables concentration is significant: four customers represented 72% of Q3 revenue, and three customers accounted for 86% of trade receivables at September 30. Management also cited generic price competition, product and customer concentration, supplier dependence, substantial debt and interest-rate exposure as risks.
- Subsequent events: the November 7 reorganization eliminated the Up-C structure and converted Class B holders into equivalent New PubCo Class A shares; the ticker remained AMRX. The parties also reduced the company’s future TRA share of applicable tax benefits from 85% to 75%, without accelerating payments. In October, the company entered a denosumab biosimilar agreement, paid $2.5 million and accepted potential milestones of up to $71.5 million.
