ASP Isotopes Inc. — Q1 2024 Form 10-Q Summary

Business context and reporting period

ASP Isotopes Inc. is a development-stage advanced materials company developing isotope-enrichment technologies, including the Aerodynamic Separation Process and Quantum Enrichment. Target products include C-14, Mo-100, Si-28, HALEU-related U-235 and Lithium-6. The company also owns 51% of PET Labs Pharmaceuticals, which generates revenue from nuclear medical doses for PET scanning in South Africa.

This report covers the three months ended March 31, 2024. Beginning in 2024, the company reports two operating segments: nuclear fuels and specialist isotopes and related services. The financial statements are unaudited.

SG&A increased 67% year over year, primarily due to higher personnel costs, professional and legal fees, convertible-note issuance costs, and expanded facilities. Stock-based compensation was $1.7 million, compared with $2.1 million in Q1 2023. The company recorded $1.2 million of other expense, including a $953,710 fair-value loss on convertible notes and a $218,000 fair-value loss on a share liability.

Cash was $23.9 million at March 31, 2024, compared with $7.9 million at December 31, 2023. Financing activities provided $20.3 million, primarily from $20.55 million of gross convertible-note proceeds. The company had total liabilities of $32.4 million, including $22.0 million of convertible notes at fair value, $1.7 million of other liabilities, $1.6 million of operating lease liabilities and $1.7 million of accounts payable and accrued expenses. Property and equipment increased to $14.4 million, including $12.7 million of construction in progress.

Material changes versus the prior comparable period

  • Revenue began following the PET Labs acquisition and consisted of nuclear medical doses for PET scanning; no enriched-isotope revenue was reported.
  • Net loss attributable to shareholders increased to $6.9 million from $3.6 million.
  • Operating cash burn increased to $3.0 million from $1.4 million.
  • The company issued convertible notes with $21.1 million of principal and accrued interest at March 31, 2024. The notes bear interest at 6% for the first year and 8% thereafter, mature in March 2029, and may convert at 80% of the price in a qualified financing, subject to a valuation cap.
  • Construction and equipment spending increased, including continued development of enrichment plants in Pretoria and receipt of a cyclotron.
  • The company established a nuclear-fuels operating segment associated with Quantum Leap Energy, which began operations in February 2024.
  • Shares outstanding were 48.6 million at March 31, 2024 and 51.8 million as of May 10, 2024. In April 2024, warrants for 3,164,557 shares were exercised for approximately $5.5 million of gross proceeds.

Guidance, outlook, commentary and risks

Management stated that the C-14 enrichment plant in Pretoria was commissioned but required final installation of essential components before production. The company anticipated completing and commissioning a multi-isotope enrichment plant in Pretoria in mid-2024 and expected substantial commercial isotope availability no earlier than the second half of 2024. U-235 commercialization, if permitted, is not expected for several years, if ever.

The company disclosed substantial doubt about its ability to continue as a going concern. Cash of $23.9 million at March 31, 2024, together with approximately $5.5 million received from warrant exercises in April, is not expected to fund operating expenses and capital requirements for more than 12 months from the financial-statement issuance date. Additional financing is required to complete the first enrichment facility and begin operations, and management’s planned financing actions were not considered probable at the reporting date.

Key risks include construction and commissioning delays, technology performance, regulatory approvals and ongoing compliance, demand and market acceptance for proposed isotopes, dependence on financing, limited suppliers and customers, international and geopolitical exposure, intellectual-property disputes, foreign-exchange volatility, and the ability to protect and maintain effective internal controls. Management reported that disclosure controls were not effective at March 31, 2024 because of a previously disclosed material weakness in internal control over financial reporting.

The company has an outstanding $1.235 million balance payable for the PET Labs acquisition, expected to be paid in the second half of 2024. It also has future lease payments of approximately $1.9 million under operating leases and $301,100 under finance leases as of March 31, 2024. No material legal proceedings were pending, and management reported no material changes to the risk factors in the 2023 Form 10-K.

Important facts for investors to verify

  • Whether additional debt or equity financing is obtained and on what dilution, conversion and collateral terms.
  • Actual remaining cash runway after the April warrant proceeds and current operating and capital spending.
  • Progress, cost, commissioning status and regulatory approvals for the Pretoria enrichment facilities.
  • Whether the company achieves commercial production and meaningful revenue from enriched isotopes rather than primarily PET Labs services.
  • The valuation-cap and conversion consequences of the Quantum Leap Energy convertible notes.
  • Settlement of the $1.235 million PET Labs purchase obligation and any decision to exercise the option for the remaining 49% interest.
  • Remediation of the material weakness in internal control over financial reporting.
  • Whether technology, intellectual-property, licensing and nuclear-regulatory risks affect the company’s ability to commercialize its products.
