AMTECH SYSTEMS INC annual report, FY2015

Amtech Systems, Inc. — FY2015 Form 10-K

Reporting period: Fiscal year ended September 30, 2015. This is an annual filing; “2015 Q4” refers to the fiscal year-end period, not a standalone quarterly report.

Business context

Amtech makes thermal-processing and wafer-handling equipment, related consumables, and polishing products for solar, semiconductor, electronics-assembly, and other markets. It reports three segments: solar, semiconductor, and polishing. Results are exposed to cyclical customer capital spending and rapid technology changes.

Financial performance and liquidity

MetricFY2015FY2014
Revenue$104.9 million$56.5 million
Gross profit / margin$27.0 million / 25.8%$11.6 million / 20.6%
Operating loss$13.5 million$13.1 million
Net loss attributable to Amtech$7.8 million; $0.65 loss per share$13.0 million; $1.34 loss per share
Cash from operating activities$(10.1) million$(11.1) million
Cash and cash equivalents at year-end$25.9 million$27.4 million
Working capital$46.3 million$32.3 million
Long-term debt, including current maturities$9.4 millionNone reported

Revenue increased 86%, with solar revenue of $56.7 million and semiconductor revenue of $37.3 million. Solar orders were $61 million; year-end backlog was $34.6 million, up from $28.5 million. Management cautions that orders may be delayed or canceled and backlog does not assure future revenue or profit.

Operating cash use remained significant. FY2015 cash declined by $1.5 million, with operating cash use and capital expenditures partly offset by cash acquired in acquisitions and Kingstone-sale proceeds. The current ratio was 2.2:1. Management said available liquidity was adequate to support operations for at least 12 months.

Material changes versus FY2014

  • Revenue growth reflected higher solar sales and the January 2015 acquisition of BTU, which substantially expanded semiconductor-segment revenue. BTU was acquired in an all-stock transaction; Amtech issued about 3.19 million shares.
  • Gross margin improved, reflecting higher volumes and segment mix. Use of previously written-down inventory favorably affected gross margin by $4.0 million in both FY2015 and FY2014. FY2015 also included a $1.3 million net recognition of previously deferred profit, versus a $6.1 million net deferral in FY2014.
  • Operating loss widened slightly despite higher sales; SG&A rose to $33.0 million from $18.4 million, partly due to BTU, acquisition-related costs, and higher shipping and commissions. The filing reports $4.0 million of BTU transaction-related expenses in FY2015.
  • Net loss narrowed substantially, but FY2015 included an $8.8 million non-cash gain from deconsolidating Kingstone after reducing Amtech’s interest to 15% of the Hong Kong holding company (about 10% beneficial interest in the Shanghai operating entity). The gain is not operating income.
  • Amtech acquired a 51% controlling interest in SoLayTec in December 2014 and completed the BTU acquisition in January 2015. It also sold part of its Kingstone interest; additional sale and loan-repayment proceeds were received after year-end.

Outlook, risks, and unusual items

  • The filing provides no specific revenue or earnings guidance. Management describes solar and semiconductor markets as cyclical and the solar industry as affected by oversupply, customer financing, government incentives, trade barriers, and technology shifts.
  • Customer and order concentration, potential cancellations or delayed acceptance, international exposure, foreign-exchange movements, competition, and reliance on suppliers are material risks. Two customers represented 15% and 11% of FY2015 revenue.
  • BTU mortgage debt carried a 4.4% rate through September 2018. Amtech disclosed noncompliance with a covenant tied to debt relative to the mortgaged property’s appraised value; as of the filing, it had received neither an acceleration notice nor a waiver. The debt balance was $6.9 million.
  • FY2015 included $0.6 million of restructuring charges and $1.9 million of income-tax provision despite a pretax loss. Management attributed tax effects in part to valuation allowances and foreign withholding taxes related to the Kingstone transaction.
  • A settlement of BTU-related stockholder litigation was subject to court approval; certain securities-law claims were excluded from the proposed release. The company also reported a $0.2 million EPA Superfund liability assumed with BTU.
  • Management and the auditor concluded that internal control over financial reporting was effective as of September 30, 2015; the auditor issued unqualified opinions on the financial statements and internal controls.

Important facts for investors to verify

  • Whether Amtech resolves the BTU debt covenant noncompliance and how the debt’s post-2018 interest-rate reset affects financing costs.
  • Whether operating cash use improves and whether management’s stated 12-month liquidity assessment remains supported by cash, working capital, and collections.
  • How much of backlog converts to recognized revenue, given customer cancellation rights, acceptance-related deferrals, and customer concentration.
  • Whether acquired BTU and SoLayTec operations deliver sustainable profitability and integration benefits, and how share issuance affects per-share results.
  • The timing and final amounts of Kingstone-related proceeds, including the $5.6 million payment for exclusive sales and service rights expected by March 31, 2016, net of stated tax effects.
  • Whether the proposed BTU litigation settlement receives court approval and whether any excluded claims or other contingencies result in further costs.
