BIOGEN INC. annual report, FY2022

Biogen Inc. — FY 2022 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2022. This is an annual report; it does not provide a standalone fourth-quarter summary. Amounts are U.S. dollars unless stated otherwise.

Business context

Biogen is a global biopharmaceutical company focused on neurology and related areas. Its portfolio includes multiple sclerosis (MS) therapies, SPINRAZA for spinal muscular atrophy, Alzheimer’s disease programs, biosimilars and financial interests in Genentech’s anti-CD20 products. Revenue remains concentrated in established products, particularly MS medicines, SPINRAZA and anti-CD20 programs.

Net income growth did not reflect improved underlying revenue: it was materially affected by a $1.505 billion pretax gain on the Samsung Bioepis sale, a $503.7 million pretax gain on a building sale and other nonrecurring items. Other expense included a $900 million litigation settlement charge plus fees. The reported effective tax rate was 17.6%, versus 3.0% in 2021. Cost of sales, excluding acquired-intangible amortization and impairment, was 22.4% of revenue, compared with 19.2% in 2021.

Operating cash flow fell substantially, reflecting lower revenue, settlement payments, payment timing and higher income-tax payments. The company reported $917 million of total net cash payments for the litigation settlement and related fees. It received approximately $990 million net from the Samsung Bioepis sale and $583 million net from the building sale. The company repurchased $750 million of shares in 2022; approximately $2.1 billion remained authorized. No shares were repurchased in the fourth quarter.

Material changes versus FY 2021

  • MS product revenue fell 10.9% to $5.430 billion, led by TECFIDERA, down 26.0% to $1.444 billion amid generic competition, and declining interferon sales. VUMERITY grew 34.8% to $553 million.
  • SPINRAZA revenue declined 5.9% to $1.794 billion, with growth in some Asian markets offset by competition, foreign exchange and shipment timing.
  • Biosimilar revenue decreased 9.6% to $751 million, primarily due to pricing and foreign exchange; BYOOVIZ began U.S. sales in 2022.
  • Anti-CD20 program revenue increased 2.5% to $1.701 billion: OCREVUS royalties rose, while RITUXAN collaboration revenue fell amid biosimilar competition.
  • Research and development expense declined 10.8% to $2.231 billion, principally reflecting higher collaboration upfront payments in 2021. Selling, general and administrative expense fell 10.1% to $2.404 billion, partly from cost reductions.
  • Operating cash flow declined from $3.640 billion to $1.384 billion. Cash and marketable securities increased, while the company redeemed $1.0 billion of notes due in 2022.

Outlook, management commentary and key risks

  • Management expected TECFIDERA revenue to decline again in 2023; interferon revenue was also expected to fall. TYSABRI and SPINRAZA revenue were expected to be relatively flat, and biosimilar revenue to grow modestly, subject to market and supply conditions.
  • Management expected core R&D expense to increase modestly and SG&A expense to decline in 2023. Cost-reduction initiatives were expected to yield approximately $1 billion in savings when completed; approximately $131 million in restructuring charges were estimated, substantially incurred in 2022.
  • LEQEMBI received FDA accelerated approval in January 2023, after the reporting year; a submission for traditional approval was also completed. Biogen and Eisai share its development and commercialization economics equally. Commercial uptake, reimbursement and confirmatory evidence remain important uncertainties.
  • Zuranolone’s NDA received FDA Priority Review in February 2023, with an August 5, 2023 action date. Tofersen’s Priority Review action date was April 25, 2023. Both outcomes were pending at the filing date.
  • ADUHELM faced a CMS coverage-with-evidence-development restriction requiring Medicare patients to participate in an approved clinical trial. Biogen wrote off approximately $275 million of ADUHELM inventory in 2022 and substantially eliminated its commercial infrastructure; it continued specified studies and patient access support.
  • Key risks include generic and biosimilar competition, reimbursement and pricing pressure (including implementation of the Inflation Reduction Act), dependence on a limited number of products and collaborators, clinical and regulatory setbacks, manufacturing and supply interruptions, patent disputes, foreign exchange exposure and cybersecurity threats.
  • Potential milestone payments under collaboration agreements totaled up to approximately $9.3 billion, contingent on achievement; up to $356.2 million could become payable in 2023 if specified milestones were met, including $225 million tied to the first U.S. commercial sale of zuranolone. These contingent amounts were not recorded as liabilities at year-end.

Most important facts for investors to verify

  • Whether product-level revenue trends—especially TECFIDERA, SPINRAZA, RITUXAN and OCREVUS—continue as management anticipated, and how quickly LEQEMBI contributes commercially.
  • The timing, uptake, reimbursement and confirmatory-trial requirements for LEQEMBI, and the FDA decisions for zuranolone and tofersen.
  • The extent to which 2022 earnings were driven by one-time gains and charges, and whether operating cash flow recovers from its sharp decline.
  • Collection of the approximately $1.3 billion in deferred Samsung BioLogics sale proceeds, due in two installments, and the company’s cash and debt position after those receipts and other obligations.
  • Resolution and financial impact of patent, securities, shareholder and other legal matters, including the pending TECFIDERA regulatory-protection appeal and risks affecting biosimilar supply.
  • Whether the projected cost savings are realized without impairing pipeline development, manufacturing readiness or future growth.
