The two measures should not be treated as interchangeable.

Material changes and notable items

  • Validator operations generated the company’s first reported validator revenue in 2021. Management expects revenue to grow as infrastructure expands, but provides no quantified forecast.
  • Operating expenses rose by $16.081 million, principally due to $15.6 million of non-cash contingent bonuses and increased platform research and development. Stock-based compensation totaled $15.457 million.
  • Net loss widened by $13.493 million. Other income included a $3.919 million gain from changes in warrant fair value and $3.054 million of realized digital-asset gains, partly offset by $3.846 million of digital-asset impairment and $1.868 million of debt-discount amortization.
  • Loss attributable to common stockholders also reflected $5.021 million of deemed dividends from a Series C-2 anti-dilution adjustment and $46,000 of beneficial-conversion-feature amortization.
  • Financing included $8.865 million net proceeds from a registered stock-and-warrant offering and $2.832 million net proceeds from the ATM program. The company sold 466,791 ATM shares during 2021. It reported 10.528 million common shares outstanding at year-end; 12.550 million were outstanding as of March 9, 2022.

Outlook, risks and contingencies

  • Management says cash and liquid digital assets, together with potential ATM proceeds, should fund working capital and obligations for at least 12 months. At March 9, 2022, it reported approximately $3.0 million cash, $11.6 million fair value of liquid digital assets, and approximately $18.2 million of ATM capacity available under applicable shelf limits. It expects to seek additional debt or equity financing to execute its longer-term plan; financing availability and terms are uncertain.
  • The company has recurring losses and negative operating cash flow and expects further losses. The independent auditor identified going concern as a critical audit matter; management concluded available resources alleviated substantial doubt for the next 12 months.
  • The dashboard and Staking-as-a-Service product remain subject to development, adoption, monetization, competitive, cybersecurity and privacy risks. The company cited pandemic-related delays to platform development.
  • Regulatory classification of digital assets remains uncertain, including securities-law and Investment Company Act exposure. BTCS said it had disabled network payouts to delegators pending satisfactory legal guidance on public validator operations.
  • Staked assets can be locked and exposed to price declines, slashing, smart-contract failures and loss. Validator operations and platform development rely on Amazon Web Services; digital assets are not covered by FDIC or SIPC protection and are not insured.
  • Digital assets are accounted for as indefinite-lived intangible assets: impairment is recognized when value falls below carrying value, but impairment cannot be reversed for later price increases before disposal. This policy, market volatility and potential liquidity limits can materially affect reported results and access to funds.
  • After year-end through March 9, 2022, BTCS sold 1,723,666 additional ATM shares for approximately $10.252 million net proceeds. A one-time $0.05-per-share dividend, payable in cash or Bitcoin at shareholders’ election, was declared in January 2022.

Investor verification priorities

  • Reconcile the $36.452 million period-end digital-asset fair-market-value table with the $12.367 million balance-sheet carrying amount, including the effects of impairment and staking classification.
  • Check the auditor’s critical-audit-matter text: it states approximately $1.2 million of cryptocurrency staking revenue was recognized in 2020, while the financial statements and MD&A report $0 revenue in 2020 and $1.213 million validator revenue in 2021.
  • Assess the sustainability of revenue and gross margin against operating costs, recurring losses, cash burn and the company’s dependence on future financing.
  • Review dilution from ATM sales, warrants, options, restricted stock units and subsequent share issuances, as well as the terms and remaining availability of the ATM program.
  • Monitor legal guidance and regulatory developments affecting validator operations, delegator payouts, digital-asset classification and the company’s Investment Company Act limits.
