Liquidity, debt and capital allocation
- At December 31, 2023, cash and cash equivalents were $195.6 million and working capital was positive by $197.1 million.
- Term-loan principal outstanding was $784.0 million; $8.0 million was current. The company had $249.3 million available under its $250 million revolving facility. The term loan matures in September 2028; the revolver matures in September 2026.
- The term loan’s weighted-average interest rate was 7.5% in 2023, up from 4.2% in 2022. CCC estimated that a 100-basis-point rate increase would add $7.8 million to annual interest expense. Interest-rate caps cover $600 million of notional debt through July 2025.
- Financing cash outflow was $323.0 million, primarily reflecting a $328.5 million repurchase of 32.5 million shares, plus $8.0 million of debt principal payments and $16.7 million of payroll taxes on equity awards.
- Management believes available cash, operating cash flow and revolver capacity are sufficient for operations, debt repayments and capital expenditures for at least the next 12 months. CCC has no current plan to pay cash dividends.
Material changes and unusual items
- Revenue increased 10.7%; gross margin expanded to 73.4% from 72.7%. Adjusted EBITDA rose 16% to $353.4 million, while operating expenses grew 27.8%.
- CCC recorded $82.7 million of goodwill and intangible-asset impairment charges related to its China reporting unit, following lower forecasts amid market conditions and higher interest rates. This was the principal stated driver of the GAAP net loss; the impairment was non-cash.
- Interest expense increased to $63.6 million from $39.0 million, primarily due to higher variable rates. A change in warrant-liability fair value generated a $15.1 million expense in 2023, versus $26.1 million of income in 2022.
- Stock-based compensation was $144.5 million, compared with $109.5 million in 2022. It is excluded from several company-defined non-GAAP measures.
- Software net dollar retention was 108% in Q4 2023, compared with 106% in Q4 2022; gross dollar retention was 99% in both periods. These metrics exclude certain smaller customers and revenue streams.
Outlook, commentary and risks
The filing provides no specific numerical FY2024 revenue or earnings guidance. Management describes continued investment in product development, AI, platform infrastructure, privacy and security, sales and marketing, and expansion of the solution portfolio and network. R&D expense was $173.1 million, or 20% of revenue; including capitalized internal-use software time, management says total R&D spending was 25% of revenue.
Key risks include customer concentration and renewal or pricing pressure; competition and the uncertain adoption, regulation and reliability of AI; cybersecurity, data privacy and third-party cloud or data-provider dependence; exposure to insurance and collision-industry conditions and claim volumes; and variable-rate debt and covenant restrictions. CCC also disclosed putative class-action litigation alleging that its total-loss vehicle valuations undervalue insured vehicles. Management stated that pending or threatened matters were not expected to have a material adverse effect, while noting litigation outcomes are uncertain. The company reported effective disclosure controls and internal control over financial reporting, with unqualified audit opinions.
In November 2023, existing shareholders sold shares in a secondary offering; CCC received no proceeds. A further shareholder secondary offering of 22 million shares closed in January 2024, also without proceeds to CCC. The 10-K also disclosed Rule 10b5-1 trading arrangements adopted by five executives or senior officers.

- How much of the gap between GAAP results and Adjusted EBITDA reflects recurring costs, particularly stock-based compensation, amortization and other exclusions.
- Debt-service sensitivity to interest rates, the effectiveness and expiration of the interest-rate caps, and the large $752 million principal payment scheduled for 2028.
- Developments in total-loss valuation litigation, AI and privacy regulation, cybersecurity exposure, and dependence on third-party data and hosting providers.
- The effects of the share repurchase, subsequent secondary sale and disclosed executive trading plans on share count, liquidity and potential market supply.
