CODEXIS, INC. annual report, FY2023

Codexis, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; this is an annual report, not a standalone fourth-quarter report. Financial figures below are in U.S. dollars unless stated otherwise.

Business context

Codexis engineers enzymes using its CodeEvolver platform. Its strategic focus is its established pharmaceutical-manufacturing enzyme business and development of ECO Synthesis, an enzymatic platform intended for commercial-scale RNAi therapeutics manufacturing. In July 2023, the company discontinued investment in certain programs, primarily biotherapeutics, consolidated operations in Redwood City, and reduced headcount by approximately 25%. Effective October 1, 2023, it reported as one segment.

Financial performance and liquidity

MetricFY2023FY2022

Working capital at year-end$57.6 million$113.8 million
Operating cash flow$(52.6) million$11.3 million

Product revenue fell 63%, principally because Pfizer purchases of CDX-616, used in PAXLOVID manufacturing, declined from elevated prior-year levels. Research and development revenue rose 24%, including Pfizer-related licensing revenue and Nestlé-related revenue. Product gross margin improved, partly because of revenue recognized without corresponding product costs. The company reported $138.2 million in total costs and operating expenses.

Other income (expense), net was an expense of $12.3 million, primarily reflecting $12.2 million of impairments on investments in MAI, seqWell and Arzeda. Operating expenses included $10.0 million of asset impairment and other charges, including a $7.7 million charge associated with the San Carlos facility and a $0.8 million goodwill impairment, as well as $3.3 million of restructuring charges.

At year-end, total assets were $136.6 million and total liabilities were $49.9 million. Operating lease liabilities were $16.0 million. The prior Western Alliance credit facility was terminated in March 2023; the balance sheet does not report a term loan at December 31, 2023. Subsequent to year-end, Codexis borrowed $30.0 million under a five-year Innovatus loan agreement and may draw an additional $10.0 million if specified milestones are met. The loan has a 36-month interest-only period, a floating rate, and financial covenants.

Material changes, outlook and risks

  • Strategy and restructuring: The company redirected resources toward pharmaceutical manufacturing and ECO Synthesis, ceased investment in certain biotherapeutics programs, assigned its San Carlos lease to Vaxcyte effective October 1, and substantially completed its workforce reduction.
  • ECO Synthesis outlook: Codexis reported gram-scale synthesis under process-like conditions in December 2023. Management expects pre-commercial customer testing in 2024, early commercial licenses in 2025, and a full commercial launch in 2026. These are expectations, not assured outcomes; the platform remains in development and is not commercialized.
  • CDX-616 and Pfizer: The filing says there is no binding commitment for Pfizer to buy any particular quantity. Future revenue depends on orders, PAXLOVID demand, manufacturing choices, and supply capacity. Certain credits against Pfizer’s 2022 fee expired in 2023; a limited portion may be applied to qualifying 2024 orders.
  • Customer and operating concentration: Two customers accounted for 22% and 13% of FY2023 revenue. Four customers represented 58% of receivables at year-end. Large-scale enzyme production depends on a limited number of contract manufacturers.
  • Funding and losses: Codexis has a history of losses and reported an accumulated deficit of $497.5 million. Management stated that existing cash and cash equivalents, expected revenues and expense management were expected to fund operations for at least 12 months, but noted assumptions could prove incorrect. The subsequent Innovatus loan adds liquidity but includes covenants and potential dilution through a warrant.
  • Other risks and contingencies: The filing highlights uncertain customer adoption and technical scale-up of enzymatic RNA synthesis, competition, intellectual-property risks, investment valuation uncertainty, and regulatory, supply-chain and financing risks. The company reported no material pending litigation.

Most important facts for investors to verify

  • Whether pharmaceutical enzyme sales recover and whether Pfizer places further CDX-616 orders, given the customer concentration and lack of purchase commitments.
  • Whether ECO Synthesis meets its customer-testing and commercialization milestones, and what evidence supports commercial scalability and adoption.
  • Cash burn, available liquidity, debt service and compliance with Innovatus loan covenants, including conditions for the additional $10.0 million tranche.
  • Whether investment impairments or other restructuring-related costs recur, and how non-marketable investment valuations develop.
  • The timing and value of Nestlé milestones and royalties, and other contingent collaboration payments, which depend on third-party development and commercialization.
