Material changes and unusual items
- Revenue fell 11.0% year over year, chiefly as royalties declined 16.1%; licensing revenue decreased 5.7%. Handset market weakness and slower-than-expected expansion among base-station customers weighed on royalties.
- Operating expenses rose 10.0% to $71.2 million, led by research and development (up 18.2% to $47.8 million). Management cited higher headcount and employee costs and reduced Israeli research grants. Gross margin also contracted.
- ASC 606 adoption increased reported 2018 revenue by $4.1 million and opening retained earnings by $8.6 million. Without ASC 606, the company said 2018 net loss would have been $3.1 million rather than reported net income of $0.6 million. Royalty revenue now reflects current-quarter shipments, including customer estimates, rather than prior-quarter reports.
- A $0.9 million loss from revaluing a private-company investment reduced pretax income. No goodwill or marketable-security impairment was recorded.
Outlook, risks and contingencies
- At its January 2019 investor day, management forecast that by 2022 licensing revenue would be approximately 10%–20% above “current levels,” royalty revenue approximately twice current levels, and net income approximately three times current levels. The filing does not define a precise baseline for “current levels.”
- Management expected elevated handset inventories to add to seasonal weakness in near-term 2019 royalties, with a handset recovery in the latter part of 2019 and continued expansion among non-handset and base-station customers. It also anticipated about $4 million of additional R&D expense and higher cost of revenue in 2019.
- Revenue is concentrated: handset and other-device baseband represented 61% of 2018 revenue; one customer represented 15% of total revenue. Three royalty customers together represented 76% of royalty revenue. Customer concentration, handset cycles, pricing pressure, design-win delays, competition and international trade disruptions are material risks.
- Other exposures include foreign-currency movements, reliance on Israeli R&D grants and tax benefits, and evolving U.S. and foreign tax rules. The company reported $2.7 million of uncertain tax positions and a $23.3 million contingent IIA royalty obligation tied to sales of grant-funded products. Management reported no legal proceeding expected to materially affect the company.
- Management stated available liquidity and operating cash should fund operations for at least 12 months. About $136.4 million of year-end cash, deposits and marketable securities was held by foreign subsidiaries; repatriation could incur taxes. The company estimated that adoption of the new lease standard would add over $9.5 million of lease assets and liabilities, with no material income-statement impact.
Important facts for investors to verify
- How much of 2018 revenue and earnings performance reflects ASC 606 timing and estimates, and how comparable the reported periods are.
- Handset shipment and inventory trends, royalty recovery, and customer concentration—especially the dependence on baseband and major royalty payers.
- Whether non-baseband design wins, including connectivity, vision and NeuPro AI, translate into production shipments and durable royalty growth.
- The assumptions and baseline behind management’s 2022 targets, alongside planned R&D spending and liquidity deployment.
- The collectability and timing of overseas cash, marketable-security exposure, tax positions, Israeli incentives and contingent IIA royalties.
