Material changes and management commentary
- Revenue declined 6% in Q3 and 16% for the first nine months year over year; excluding currency effects, declines were 5% and 14%. Management attributed the pressure mainly to weaker consumer-electronics demand and large-customer deployment timing in Q3, and weaker factory-automation spending, including consumer electronics and semiconductors, and paused investment by some large e-commerce logistics customers over nine months.
- Q3 revenue rose in the Americas (22%), Europe (6%), and Other Asia (8%), but fell 48% in Greater China. For the nine months, revenue declined in all reported regions, including 28% in Greater China and 23% in Other Asia.
- Gross margin was broadly stable. Management said less favorable revenue mix was offset by lower inventory costs, including lower component premiums and replenishment after the 2022 supplier fire.
- Q3 operating expenses were roughly flat in total, but SG&A rose 9%, driven partly by the “Emerging Customer” sales initiative, personnel costs, and Moritex-related transaction costs. Management said operating income, excluding fire impacts, was 14% of revenue versus 20% a year earlier, reflecting lower revenue and continued initiative investment.
- Fire-related recoveries were $5.3m in the first nine months of 2023, including $2.75m in Q3; Cognex expected another $2.75m by year-end and did not anticipate other recoveries. The comparable 2022 nine-month period included a $20.3m net fire loss.
- Foreign-currency losses were $8.7m in Q3 and $9.9m for nine months. Q3 included an $8.5m loss on a yen forward contract associated with the subsequent Moritex acquisition. Higher investment yields helped lift investment income to $12.6m for nine months, from $4.4m.
Outlook, risks, and unusual items
The filing provides no quantified revenue or earnings guidance. Management said existing cash and investments plus operating cash flow should be sufficient for operating, investing, and financing needs over the next twelve months. It also cited expected cash outlays for the “Emerging Customer” initiative and disclosed $70.6m of inventory purchase commitments, mostly payable within twelve months. Lease payment obligations were stated as $105.4m, with $11.3m payable within twelve months.
On October 18, 2023, after quarter-end, Cognex acquired Moritex Corporation for an enterprise value of ¥40 billion, approximately $270m at closing-date exchange rates, in an all-cash transaction. The purchase price allocation was still in process. A $0.075-per-share dividend was declared October 31, payable December 1, 2023.
Key disclosed risks include dependence on suppliers and contract manufacturers, demand and customer concentration, inventory forecasting and obsolescence, foreign-exchange movements, global economic and geopolitical conditions, cybersecurity and privacy, product development and competition, and acquisition integration. Cognex reported a $19.8m net unrealized loss position in its debt securities portfolio and said securities sold for Moritex funding resulted in realized losses. Ordinary-course legal matters were not expected by management to have a material adverse effect. Disclosure controls were concluded effective, with no material quarterly change in internal control over financial reporting.
Important facts for investors to verify

- Post-acquisition Moritex funding, purchase-price allocation, integration costs, and contribution to future results.
- Whether the expected additional $2.75m fire recovery was received and whether any other recoveries or costs arose.
- Investment portfolio liquidity and realized/unrealized losses, particularly after funding the acquisition.
- Execution and spending of the “Emerging Customer” initiative alongside inventory purchase commitments and planned capital returns.
