Quarterly net income available to common rose 14.5%; nine-month common income rose 16.0%. Net interest income increased 4.8% for the quarter and 7.0% year to date. The nine-month net interest margin contracted 2 basis points. No separate operating-revenue line is presented; other income was $1.54m for Q3 and $5.10m for the nine months, down 41.4% and 17.7%, respectively, largely reflecting lower securities gains and the absence of a prior-year acquisition gain.

  • Balance sheet: Total assets were $1.644bn at September 30, up from $1.630bn at year-end 2012. Loans were $957.5m, up 7.6%; deposits were $1.314bn, up $7.4m. Stockholders’ equity was $165.1m, or 10.0% of assets; book value per common share was $9.40 and tangible book value was $8.37.
  • Credit quality: Allowance for loan losses was $10.2m, 1.06% of loans, versus 1.15% at year-end. No loan-loss provision was recorded in the first nine months. Nonperforming assets were $2.25m, 0.14% of assets, compared with $4.97m at year-end. Potential problem loans rated special mention or substandard totaled $31.7m, down from $47.4m.
  • Cash flow and liquidity: Cash and cash equivalents fell $72.6m to $33.6m. Nine-month operating cash flow was $17.8m; investing used $94.9m, including $68.1m of net loan growth; financing provided $4.5m, including $7.4m of deposit growth. Management said it believed funding capacity was adequate and cited unpledged securities and secured Federal Reserve and FHLB borrowing capacity.
  • Debt and capital: Long-term borrowings were $146.0m and subordinated debentures were $5.2m. The Bank’s regulatory capital ratios were 9.51% Tier 1 leverage, 11.69% Tier 1 risk-based, and 12.48% total risk-based; the filing states the Bank met applicable capital requirements.

Material changes versus comparable periods

  • Loan growth and lower funding costs supported higher net interest income; average loan balances increased while loan yields declined in the lower-rate environment.
  • Q3 other expense fell 17.3%, primarily because 2012 included $1.01m of repurchase-agreement termination costs and $472,000 of acquisition costs. Excluding those items, quarterly expense increased 3.0%. Nine-month expense was nearly flat overall, but increased 7.4% excluding those prior-year items.
  • 2012 other income included an $899,000 bargain gain on acquisition. Securities gains also declined: $343,000 versus $763,000 in Q3, and $1.26m versus $2.21m for nine months.
  • Accumulated other comprehensive income moved from a $5.1m gain at year-end 2012 to a $2.2m loss at September 30, 2013, principally reflecting lower unrealized gains on available-for-sale securities as market values changed.

Outlook, risks and unusual items

  • The filing provides no quantified earnings or revenue guidance. Management described goals of balanced asset and revenue growth, expansion of market presence, and managing funding costs and interest-rate exposure.
  • Management’s simulation indicated that a gradual 200-basis-point rate increase would reduce net interest income by 1.16%, assuming no management action. The company noted model uncertainty and that its objective to improve spread and margin was not assured.
  • Principal risks cited include competition, interest-rate movements, loan performance and economic conditions—particularly in New Jersey—securities-market volatility, regulation, technology changes, and legal or regulatory matters. Management noted that loan-loss and securities-impairment judgments could change and future provisions or impairment charges may be required.
  • The company held a below-investment-grade pooled trust preferred security, ALESCO VII, with a fair value of $94,000 and reported its sixteenth interruption of cash-flow payments in September. Management recorded no additional impairment, but warned that deterioration could lead to future charges. Gross unrealized securities losses were $9.5m; management attributed these largely to rates and spreads and did not consider them other-than-temporary.
  • As a subsequent event, the company modified $40m of FHLB advances on October 30–31, 2013, reducing their weighted average rate by 52 basis points to 3.43% and extending maturities to seven years; no fees, penalties, gains, or losses were reported.
