Cytomx Therapeutics, Inc. quarterly report, Q2 FY2023

CytomX Therapeutics, Inc. — Q2 2023 Form 10-Q

Reporting period: Quarter and six months ended June 30, 2023. Financial statements are unaudited; dollar amounts below are in millions unless noted.

Business context

CytomX is a clinical-stage oncology company developing conditionally activated biologics using its Probody platform. It has no approved products and no product-sales revenue; revenue is primarily from collaboration agreements. Its pipeline includes partnered clinical programs and wholly owned candidates CX-2051 and CX-801, for which it planned IND submissions in Q4 2023.

Revenue increased 92% year over year in Q2 and 120% for the first half, mainly reflecting collaboration revenue, including increased BMS activity; it is not product-sales growth. Lower R&D and G&A expenses reflected the 2022 workforce reduction and reduced activity on certain programs. Higher interest income also contributed to the lower net loss. Gross margin is not separately reported.

At June 30, cash and cash equivalents were $57.5 and short-term investments were $123.3, totaling approximately $180.9 in cash, cash equivalents and investments. Current assets were $187.8 and current liabilities $141.4 (current ratio approximately 1.33). Total liabilities were $294.2, including $261.2 of deferred revenue; the filing does not report borrowings or debt. Stockholders’ deficit was $85.0.

For the first half, operating cash use was $15.8, versus $75.6 in 2022. Investing cash use was $120.6, principally reflecting purchases of short-term investments, partly offset by maturities; financing provided $0.3. Cash, cash equivalents and restricted cash declined $136.1, largely because funds were shifted into investments, rather than solely from operating burn.

Material changes, outlook and risks

  • Collaboration revenue was concentrated: BMS contributed $13.9 in Q2 and $21.6 for the first half. Astellas contributed $14.1 for the first half, including a $5.0 clinical-candidate milestone. Revenue varies with partner activity and performance-obligation progress.
  • AbbVie elected not to advance CX-2029; the collaboration was terminated in March 2023. CytomX has an exclusive option to reacquire full rights and is evaluating next steps. AbbVie’s decision also ended its discovery collaboration.
  • Management stated that available capital resources were expected to fund operations into the second half of 2025. In July 2023, after quarter-end, CytomX raised approximately $30.0 gross in a private placement involving pre-funded warrants for up to 14.4 million shares and additional warrants for up to 11.5 million shares. Exercise could materially dilute existing holders. The runway estimate is subject to operating, clinical and financing uncertainties; management said additional funding will be needed in the future.
  • Management expected initial CX-904 Phase 1 dose-escalation data in the first half of 2024. Development remains subject to clinical, regulatory, enrollment, manufacturing and funding risks. The filing describes anemia as a notable CX-2029 treatment-related adverse event in prior study data; AbbVie nevertheless discontinued further development.
  • The 2022 restructuring reduced the workforce by approximately 40% and was substantially complete by year-end 2022. CytomX also subleased part of its premises through September 2026; it reported $0.3 of sublease income for both Q2 and the first half of 2023.
  • A patent-infringement suit brought by Vytacera seeks unspecified damages. CytomX disputes the claim, considers loss not probable and recorded no liability. A California tax examination of 2017–2018 returns remains unresolved; the company said it could not reasonably estimate a potential impact, but did not anticipate a material effect.
  • Management reported that a material weakness in revenue-recognition controls identified for year-end 2022 was remediated during Q2 2023. Disclosure controls were considered effective as of June 30.

Key investor verification points

  • Confirm the July financing’s final proceeds, warrant terms, exercise activity and potential dilution.
  • Assess whether the stated cash runway remains achievable given operating burn, development spending and the need for future financing.
  • Track partner decisions and program progress, particularly BMS and Amgen activities, and whether CytomX reacquires or advances CX-2029.
  • Verify timing and outcomes for the planned CX-2051 and CX-801 IND submissions and the expected CX-904 data update.
  • Monitor collaboration-revenue concentration and deferred-revenue recognition, including the controls remediation and any subsequent accounting disclosures.
