Segments and recurring revenue
- IoT Products & Services: Revenue was $82.0 million, down 2.7%; operating income fell 18.5% to $10.3 million. Lower Console Server and Cellular product volumes were partly offset by OEM growth. Gross margin declined 110 basis points to 53.5%.
- IoT Solutions: Revenue was $24.1 million, down 3.6%, primarily due to one-time revenue reductions in Ventus, partly offset by SmartSense volume growth. Operating income was $1.8 million versus an operating loss of $0.7 million; gross margin rose 950 basis points to 71.6%, primarily reflecting SmartSense improvement.
- Annualized recurring revenue (ARR): $108 million at quarter end, up 13% year over year. IoT Products & Services ARR was $23 million versus $14 million; IoT Solutions ARR was $85 million versus $82 million. ARR is a company-defined metric, not a substitute for revenue or deferred revenue.
- Remaining performance obligations: Approximately $156.9 million for contracts with original terms of at least one year; about $67.5 million is expected to be recognized over the next 12 months.
Balance sheet, debt and liquidity
- At December 31, 2023, cash and cash equivalents were $31.5 million; total assets were $828.7 million; and stockholders’ equity was $542.1 million.
- Long-term debt, net, was $194.7 million, including $196.0 million outstanding on the revolving facility, with no current portion reported. The new $250 million senior secured revolving facility replaced the prior term loan and revolver. It matures December 7, 2028; the balance-sheet debt includes unamortized issuance costs.
- The facility’s weighted-average interest rate was 7.96% at quarter end. It has a minimum interest coverage covenant of 3.00-to-1.00 and a maximum total net leverage covenant of 3.00-to-1.00, subject to specified exceptions. Borrowings are secured by substantially all of Digi’s and its domestic subsidiaries’ assets.
- Management expects positive operating cash flows and believes cash, operating cash generation and facility availability will fund operations and capital expenditures for the next 12 months and beyond. Cash declined $0.1 million during the quarter to $31.5 million.
- Current assets were $165.4 million and current liabilities $70.4 million. Unearned revenue rose to $31.2 million from $25.3 million at September 30, 2023; inventory declined to $67.6 million from $74.4 million.
Outlook, risks and unusual items
- Fiscal 2024 operating priorities include expanding complete solutions with software and services to grow ARR and higher-margin recurring revenue, and improving customer service. The filing provides no specific revenue, earnings or cash-flow guidance.
- The $9.7 million write-off of prior-facility debt issuance costs followed the December 2023 refinancing and drove the GAAP quarterly net loss despite higher operating income. The filing reports no goodwill impairment from its December 31 assessment.
- Interest-rate exposure is significant: a 25-basis-point rate change was estimated to affect annual interest expense by approximately $0.5 million. Management notes that sustained elevated rates would keep interest expense above historical levels. Digi has no formal foreign-currency hedging strategy.
- Data Logger Solutions litigation alleges unpaid and future commissions under a reseller agreement; a trial was scheduled to begin in February 2024. Digi intends to defend the case but cannot estimate potential liability or defense costs.
- Disclosed risks include cybersecurity and data privacy, macroeconomic and demand uncertainty, supply-chain disruption, competition and technology changes, customer and supplier financial health, acquisition integration, and litigation. Management said disclosure controls were effective and reported no material change in internal control over financial reporting.
Most important facts for investors to verify

- Whether improved segment margins—particularly IoT Solutions—are sustainable and whether the weaker IoT Products & Services operating income recovers.
- Debt balance, borrowing costs, covenant headroom and the effect of variable rates on earnings and cash generation.
- Outcome and potential financial exposure from the Data Logger litigation, along with any developments in cybersecurity or other contingencies.
- Reconciliation of non-GAAP adjusted results to GAAP results and the impact of future amortization, stock compensation and other excluded items.
