Q3 revenue increased 14% year over year, led by subscription services. Subscription revenue was $62.6 million and professional-services revenue was $2.8 million. For the nine months, revenue grew 14%; approximately 97% was subscription revenue. Q3 GAAP gross margin was about 82%, while management’s adjusted gross margin was 86% (versus 89% a year earlier).
The principal driver of the sharp increase in GAAP losses was a $287.4 million non-cash goodwill impairment charge, recorded after a sustained share-price decline triggered an interim impairment test. The charge reduced goodwill to $1.074 billion and, according to the company, did not affect liquidity or debt covenants. Q3 other income also included a $29.7 million tax receivable agreement (TRA) remeasurement gain; such gains are non-operating and should not be treated as recurring operating performance.
Liquidity, cash flow and debt
- At September 30, 2023, cash and cash equivalents were $77.5 million and short-term investments were $229.6 million. The $75.0 million revolving credit facility was undrawn; the company reported total available liquidity of approximately $382 million, including the facility.
- Nine-month operating cash flow was $36.5 million, compared with $39.8 million in 2022. Investing activities used $86.2 million, including $45.0 million net cash paid for Populi and net purchases of short-term investments. Financing activities used $19.5 million.
- Term-loan principal was $261.3 million ($259.6 million net of issuance costs); no revolver balance was outstanding. The loan’s effective interest rate was 7.17%, and it matures in September 2026, with an approximately $220 million balloon payment at maturity. The company was compliant with its financial covenants at quarter-end.
- The company believes cash, investments, operating cash flow and revolver availability will meet needs for at least 12 months, while noting that future liquidity depends on performance and financing conditions.
Changes, outlook and material items
- Revenue growth reflected new customers and the Populi acquisition, but Q3 revenue from customers already present at the end of the prior-year comparable period declined by $2.8 million, primarily due to heightened churn. Management also cited longer sales cycles, delayed purchasing decisions and more stringent customer approvals, especially among smaller customers and in life sciences and provider markets.
- Management expects revenue growth in 2023 and 2024 to be lower than in 2022, and expects 2023 net dollar retention to be lower than at year-end 2022. It also expects cRPO-related macroeconomic pressures to weigh on growth. No specific numeric revenue or earnings guidance is provided in the filing.
- Current remaining performance obligations were $170.8 million, down from $183.5 million at December 31, 2022; total remaining performance obligations were $253.2 million, versus $277.0 million. The filing cautions that cRPO is not necessarily indicative of future revenue growth.
- Populi was acquired on July 21 for estimated consideration of $54.1 million, including $7.8 million estimated contingent consideration; earn-outs could reach $28.0 million based on 2024–2025 revenue metrics. Purchase-price allocations remain provisional. The company also announced restructuring plans; nine-month restructuring and related charges were $4.6 million, and it does not expect further material charges from those plans.
- The company identified previously unaccrued sales taxes in certain states and restated prior financial statements. Its sales-tax accrual included $9.2 million of assumed maximum penalties and interest at September 30. The amount may change as voluntary disclosure agreements and customer exemption documentation are resolved.
- A material weakness in controls over sales-tax identification, collection and accounting remained unremediated at September 30. Management concluded disclosure controls were not effective and described ongoing remediation, including tax experts, process changes and technology enhancements.
- Deferred tax assets are subject to a valuation allowance. The TRA liability was $145.4 million at September 30; the company generally owes TRA parties 85% of realized qualifying tax savings. Macroeconomic, interest-rate, geopolitical and financial-market risks may affect customers, costs and access to financing.
