Material changes and notable items
- The November 2022 Socialyte acquisition had total consideration of approximately $14.29 million, including $5.05 million cash, shares and a $3.0 million seller note. Socialyte contributed $1.08 million of revenue and $236,031 of net income after acquisition through year-end.
- Total debt increased approximately $7.56 million year over year. About $4.28 million was classified as current, including the $3.0 million Socialyte seller note, payable in two $1.5 million installments in June and September 2023.
- The company raised cash through equity sales under Lincoln Park agreements and issued convertible notes. FY 2022 financing included $5.80 million from the equity line. The 2022 agreement permits up to $25 million of stock purchases over 36 months, subject to its terms, and may dilute existing holders.
- The October 2022 Creature Chronicles NFT sale generated approximately $429,000 gross; the company reported net proceeds of approximately $300,000 after the third-party arrangement. Management said it had no immediate plans for further NFT collections given uncertainty in crypto and NFT markets.
- Dolphin and IMAX agreed to co-finance and co-produce The Blue Angels documentary, with each funding 50% of an estimated $4 million budget. Dolphin had funded $1.5 million by year-end and committed up to another $0.5 million. The filing anticipated release in the second half of 2023.
Outlook, risks and controls
- Management cited potential organic growth from streaming content, cross-selling across marketing subsidiaries, and selective acquisitions. It intended to pursue at least one acquisition and additional Dolphin 2.0 investments in 2023; completion was not assured.
- The filing says additional funding would be needed to continue operations at current levels and meet public-company costs over the following 12 months. It also cites negative working capital, ongoing losses, substantial indebtedness and uncertainty about the company’s ability to continue as a going concern. Management expected cash, operating receipts and other available funds to meet debt requirements, but this depends on obtaining sufficient funds and generating cash.
- Key risks include client marketing-budget cuts, short-notice contract termination, dependence on key employees and client relationships, competition, acquisition integration and execution, potential entertainment-industry labor disputes, financing availability, dilution, and Nasdaq listing compliance.
- Management concluded that disclosure controls and internal control over financial reporting were ineffective at December 31, 2022 because of material weaknesses in the control environment, risk assessment, monitoring, IT access and segregation of duties, accounting procedures, reconciliations and review of complex transactions. Remediation efforts were underway; effectiveness had not yet been demonstrated.
- The company revised previously issued 2022 interim financial statements after identifying errors in accounting for The Door contingent consideration. The revisions affected reported interim earnings and segment results but not cash flows. The 2022 financial statements received an unqualified audit opinion; the auditor did not express an opinion on internal control effectiveness.
- The filing describes Midnight Theatre as expected to be fully operating by Q4 2023 in one section and expected to fully open in summer 2023 in another; confirm the current timetable. The venue and Crafthouse Cocktails investments together generated $246,789 of equity-method losses in 2022.
Investor verification priorities
- Verify liquidity sources and timing against 2023 debt maturities, especially the $3.0 million Socialyte seller note, and monitor operating cash burn and working capital.
- Confirm remaining availability and actual use of the Lincoln Park equity facility, subsequent share issuance, and potential dilution from equity and convertible notes.
- Track whether management remediates the disclosed material weaknesses and whether future filings require further revisions or restatements.
- Assess Socialyte integration and the profitability of the marketing segment, alongside the performance and carrying values of Viewpoint, Midnight Theatre and Crafthouse Cocktails.
- Check the Blue Angels production budget, remaining Dolphin funding commitment, release timing and expected economics; also confirm Midnight Theatre’s opening schedule.
- Review the Series C preferred stock’s super-voting rights and the resulting concentration of voting power, as well as the common-share count and subsequent dilution.
