Business context

Operating cash flow remained positive but was below net income-adjusted measures in part because accounts receivable rose RMB 893.2 million; accounts payable rose RMB 769.4 million. The company reported RMB 745.9 million of share-based compensation. Excluding that non-cash expense, management’s non-GAAP adjusted operating income was RMB 209.1 million and adjusted net income was RMB 235.5 million. These measures exclude share-based compensation and are not substitutes for GAAP results.
Material changes versus 2018
- Revenue rose 57.7%, driven by base commission revenue, which increased 69.9% to RMB 3,455.0 million. Innovation and other value-added services revenue declined 41.8% to RMB 144.5 million, mainly after the company shifted its sales strategy toward faster property sales rather than higher sales-incentive income.
- Closed-loop GMV grew 85.1% to RMB 210.5 billion; commission-based GMV rose 54.1% to RMB 136.5 billion.
- Despite higher revenue and broadly stable gross margin, the company swung from operating and net income to losses. Operating expenses increased to RMB 1,293.8 million, mainly due to IPO-triggered share-based compensation; excluding that expense, operating expenses were RMB 547.9 million.
- Accounts receivable increased to RMB 2,190.0 million, primarily reflecting growth and longer collection terms from developers. The allowance for doubtful accounts rose to RMB 142.3 million.
- Cash and cash equivalents increased, supported in part by RMB 498.4 million of net IPO proceeds. Short-term borrowings also increased to RMB 490.0 million.
Outlook, risks and unusual items
- Management stated that available cash and cash equivalents were expected to cover anticipated working-capital needs and capital expenditures for at least the next 12 months, while cautioning that additional financing could be needed. The company did not provide quantified revenue or earnings guidance.
- The 2019 results include RMB 745.9 million in share-based compensation recognized after the IPO and a RMB 642.2 million deemed dividend associated with an option granted to Greyhound Investment Ltd. The option was exercised in January 2020. The deemed dividend increased the loss attributable to ordinary shareholders but was not part of the reported RMB 510.4 million net loss.
- Funding-partner limited partnerships create contingent exposure: maximum exposure to losses was RMB 1.078 billion at year-end, including RMB 502.7 million of additional committed capital. The company’s carrying amount of investments in these partnerships was RMB 574.9 million. Funding partners, rather than Fangdd, generally bear purchase commitments for unsold properties under arrangements introduced from 2018.
- COVID-19 disrupted Chinese commercial activity after year-end. The filing says the outbreak was expected to negatively affect first-quarter 2020 operating results and cash flow; the ultimate impact was uncertain.
- Key risks include China property-market and regulatory volatility, developer payment delays and receivable collectability, competition, secured short-term debt, and restrictions on cross-border currency transfers. Fangdd operates primarily through a PRC variable-interest-entity structure; regulatory or enforceability challenges could impair control of the operating business.
- The filing identifies a material weakness in internal control over financial reporting relating to accounting personnel and U.S. GAAP reporting processes. Management described remediation efforts, but the filing does not establish that the weakness was fully remediated. The auditor had not audited internal control over financial reporting, and the filing notes that the auditor was not then subject to PCAOB inspection in China.
- No material legal proceedings were reported. The company disclosed RMB 28.9 million of 2019 parking-space service revenue involving Shenzhen Jinyiyun, whose principal shareholders include certain directors and management.
Important facts for investors to verify
- Whether the sharp increase in developer receivables is being collected on schedule, and how bad-debt provisions and operating cash flow develop.
- Whether the company sustains transaction and commission-based GMV growth while restoring GAAP profitability after the 2019 share-based compensation impact.
- The status and terms of short-term bank borrowings, pledged receivables and restricted cash, and the company’s liquidity after year-end.
- The amount, timing and terms of future capital contributions to funding-partner limited partnerships, and any exposure to unsold-property losses or withdrawal penalties.
- Progress in remediating the material weakness and any subsequent management or auditor assessment of internal controls.
- Developments in COVID-19 effects, PRC real estate and VIE regulation, and the renewal of Fangdd Network’s high-and-new-technology tax qualification, which the filing said it expected to seek for 2020–2022.
