At June 30, cash and cash equivalents were $19.54 million, versus $9.88 million at December 31, 2020; working capital was $19.30 million. Total liabilities were $359,022, with no notes payable outstanding. The company had an accumulated deficit of $48.68 million. H1 operating cash use was $2.88 million, investing cash use $19,929, and financing cash provided $12.55 million; cash increased $9.65 million. Financing chiefly reflected $9.41 million net proceeds from a February stock offering and $3.17 million from warrant exercises.

Gross profit and operating margins are not meaningful indicators for this pre-revenue development-stage business; the filing does not report product revenue. Grant revenue generally reimburses eligible development costs.

Changes, outlook, and risks

  • Revenue fell by $360,894 in Q2 and $966,454 in H1 year over year. The 2020 comparison included Lassa grant and malaria collaboration revenue; 2021 revenue was from the COVID-19 NIH SBIR grant.
  • Q2 R&D rose 80%, primarily due to COVID-19 vaccine work, manufacturing process development, and higher activity. H1 R&D increased 13%. G&A rose 72% in Q2 and 94% in H1, reflecting higher franchise taxes and legal, accounting, patent, insurance, consulting, listing, investor-relations, and personnel costs.
  • Management estimates existing cash will fund anticipated requirements through mid-2023, but says the estimate is subject to uncertainty and expects continued operating losses and negative operating cash flow. Additional capital will be needed; financing may not be available on acceptable terms, potentially requiring delays, reductions, or discontinuation of programs.
  • Management expects R&D spending to increase as programs advance and G&A to remain reasonably consistent with H1 levels for the rest of 2021, with increases beyond 2021 anticipated. No project-level cost or timing forecasts are provided.
  • Clinical work faces timing uncertainty: the planned HIV HVTN 132 trial and the UCSF HIV collaboration were affected by the COVID-19 pandemic, and the company was awaiting further information on timing, enrollment, and results. The AGT collaboration was discontinued after AGT remodeled its trial plans.
  • In May, the lender forgave the $170,200 PPP principal and $1,856 accrued interest, resulting in a $172,056 gain on debt extinguishment. GeoVax also repaid the remaining $22,737 GRA Note balance. These items reduced debt but the forgiveness gain is not recurring operating revenue.
  • At June 30, unrecorded vendor and subcontractor purchase commitments were approximately $1.047 million, expected to be due in 2021; $211,326 was expected to be reimbursable under existing grants. Approved grant funds available for use were $275,302. The office and laboratory lease expires in December 2022 and may be terminated by either party on 90 days’ notice.
  • The February offering and warrant exercises increased common shares outstanding from 3.83 million at year-end to 6.33 million at June 30. A further 2.79 million warrants remained outstanding; exercise and resulting proceeds are not assured. Management reported effective disclosure controls, no legal proceedings, and no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Progress, trial timing, and funding arrangements for COVID-19 and HIV programs, including the delayed HVTN 132 and UCSF studies.
  • Whether the stated mid-2023 cash runway remains supportable as development spending and purchase commitments are incurred, and whether additional financing is required.
  • Grant availability, reimbursement timing, and the status of the $1.047 million vendor commitment balance.
  • Potential dilution from outstanding warrants and options; warrant exercise proceeds depend on holders exercising.
  • Assumptions behind management’s spending outlook and the effect of clinical, manufacturing, regulatory, and collaboration developments on cash needs.
