Material changes, outlook and risks

  • Management said existing cash and government funding commitments were expected to support planned operations only into the third quarter of 2018. The filing states there is substantial doubt about the company’s ability to continue as a going concern beyond that point; management’s plans to raise capital do not alleviate that doubt. Additional funding may not be available on favorable terms or at all.
  • Management is pursuing additional grants, contracts and equity financing. Failure to obtain capital could require delaying, scaling back or eliminating development programs and reducing overhead. Accrued, deferred management salaries and director fees totaled $838,108 at quarter-end; deferrals were expected to continue pending a significant financing event.
  • In April, NIAID awarded an initial $299,820 Phase I SBIR grant for Lassa virus vaccine work, covering April 9, 2018 through March 31, 2019. At March 31, $265,396 of previously approved grant funds remained available. Management expected a Phase 1 trial evaluating HIV vaccine protein boosts to begin in the second half of 2018; a later Phase 2b trial was conditional on study results and NIAID support.
  • Development, clinical testing and regulatory approval are uncertain, costly and may take years. Management provided no forward estimates for research-program costs or completion timelines and said spending may fluctuate substantially. The company expects continued losses and does not expect product revenue for at least several years.
  • Series E preferred shares issued in March for $590,000 net proceeds are convertible at an initial $0.08 per share and include price-adjustment provisions that may lower the conversion price under specified circumstances. In Q1, 450 Series D preferred shares converted into 30 million common shares; another 150 Series D shares converted into 10 million common shares in April. A further 5 million common shares were issued for financial advisory and investment banking services.
  • The company reported $117,409 of future minimum lease payments, all due in 2018, and no material unrecorded research purchase commitments. It reported no legal proceedings, no material changes to previously disclosed risk factors, and effective disclosure controls and procedures.

Important facts for investors to verify

  • Whether GeoVax obtained sufficient financing after the filing to fund operations beyond the third quarter of 2018, and the terms and dilution associated with any financing.
  • Cash runway, grant availability and the timing of grant reimbursements, including the status and permitted uses of the April 2018 Lassa award.
  • Progress, funding and results for the planned HIV protein-boost Phase 1 trial and other clinical and preclinical programs.
  • Potential dilution from convertible preferred stock, price-adjustment provisions, options and warrants. The filing reported approximately 222.9 million potentially dilutive common-share equivalents excluded from diluted loss per share as anti-dilutive.
  • Share-count changes: 141,736,810 common shares were issued and outstanding at March 31, 2018, versus 151,736,810 at May 3, 2018.
