Revenue fell as units shipped decreased 55.5%, partly offset by a 40.8% increase in average selling price, driven by product mix. Gross margin declined primarily because of product and customer mix and the effect of fixed manufacturing overhead on lower revenue. Research and development expense fell 21.4%, while selling, general and administrative expense rose 11.8%. Interest income increased with higher rates; foreign-exchange results were a net loss of $63,000.

At June 30, 2023, total assets were $56.53 million, total liabilities $7.94 million, and stockholders’ equity $48.58 million. Management reported no debt. Current assets were $38.31 million and current liabilities $6.25 million. Lease liabilities totaled $1.14 million, and contingent consideration was $1.01 million.

Material changes and notable developments

  • Nokia represented approximately 34% of quarterly revenue, up from 15% a year earlier; Nokia-related sales rose from $1.3 million to $1.9 million. The company says Nokia orders fluctuate substantially.
  • Sales through distribution were $3.61 million versus $7.31 million a year earlier; contract-manufacturer revenue increased to $1.95 million from $1.54 million. Avnet Logistics accounted for 43.6% of quarterly revenue.
  • Cost reductions announced in November 2022 target approximately $7.0 million in annualized operating expense savings and an approximately 15% reduction in the global workforce. The initiative was expected to be completed by September 30, 2023. The company expected an additional $0.3 million of severance charges in fiscal Q2 2024; none was accrued at quarter-end.
  • In June 2023, GSI announced a Space Development Agency prototype agreement to develop APU2. The company expects milestone payments totaling approximately $1.25 million upon successful completion of specified milestones.
  • On August 1, 2023, GSI began a registered offering allowing sales of up to $25 million of common stock. It received no proceeds during the reported quarter; from August 2–7 it sold 133,000 shares at an average $4.20, for net proceeds of $542,000.

Outlook, risks and contingencies

  • Outlook: The filing provides no specific revenue or earnings guidance. Management said existing cash, cash equivalents, short-term investments, and expected operating cash flows should meet working-capital and capital-expenditure needs for at least 12 months. It also cautioned that the economic outlook could adversely affect fiscal 2024 results, financial position, impairments, and liquidity.
  • Demand and concentration: Management cited inflation, interest rates, energy-price volatility, weaker economic conditions, customer inventory adjustments after prior buffer-stock purchases, and cyclical semiconductor demand. Revenue dependence on SRAM, Nokia, distributors, and networking and telecommunications markets increases exposure to order fluctuations.
  • Product development: APU commercialization is a key strategic effort but carries execution and adoption risks. Failure to achieve forecast APU revenue could lead to a future non-cash impairment of finite-lived intangible assets; their carrying value was $1.73 million at June 30. Goodwill was $7.98 million, with no impairment reported in the latest annual test.
  • Supply and costs: GSI relies on single-source suppliers, including TSMC for wafers, and reported higher manufacturing costs. Supplier disruption, Taiwan-related geopolitical or natural-disaster risks, and further cost increases could constrain shipments or margins.
  • Commitments: Purchase obligations were $2.1 million, including $1.1 million payable within 12 months. Contingent consideration of approximately $1.0 million is payable at various dates through December 31, 2025. Indemnification obligations are described, but their maximum potential amount is not determinable.
  • Controls: Disclosure controls were deemed ineffective because a material weakness in internal control over financial reporting remained unremediated at June 30, 2023. It concerns management review of forecasts used in contingent-consideration valuation and goodwill and intangible-asset impairment analyses. Management is implementing enhanced review controls; remediation was not yet complete.

Important facts for investors to verify

  • Whether revenue and shipment volumes stabilize, and how much future results depend on Nokia and Avnet Logistics.
  • Progress on APU/Gemini commercialization, SDA milestones, customer adoption, and the assumptions supporting intangible-asset recoverability.
  • Whether the announced cost reductions are completed and achieve the targeted annualized savings without impairing product development.
  • Cash burn, investment balances, financing needs, and dilution from the registered share offering and any further equity sales.
  • Remediation and testing of the material weakness, particularly controls over forecasts and fair-value or impairment estimates.
