HALOZYME THERAPEUTICS, INC. annual report, FY2023

Halozyme Therapeutics, Inc. — 2023 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2023. Although the request identifies 2023 Q4, the supplied filing text reports annual results and does not provide a clear standalone fourth-quarter financial value.

Business context

Halozyme is a biopharmaceutical company whose ENHANZE platform uses recombinant human hyaluronidase (rHuPH20) to enable subcutaneous delivery of drugs. It earns royalties, milestone and licensing revenue, and revenue from bulk rHuPH20 and device sales. Its proprietary products include Hylenex and XYOSTED; its business also includes auto-injector products and technology acquired with Antares in 2022.

Product sales growth reflected contributions from proprietary and device-partnered products following the Antares acquisition, as well as increased bulk rHuPH20 demand. Royalty growth was led by DARZALEX SC and Phesgo, partly offset by lower Herceptin SC and MabThera SC sales. Collaborative revenue declined mainly because of the timing of partner milestones and license fees.

Operating expenses were $491.7 million, up from $392.6 million. Increases included amortization of acquired intangibles, research and development, and selling, general and administrative costs. Interest expense was $18.8 million; income tax expense was $66.7 million. The year included a $13.2 million gain from remeasurement of the TLANDO-related contingent liability and a $2.5 million impairment of TLANDO product rights after notice of license termination.

Cash flow, liquidity and debt

  • Operating cash flow was $388.6 million, compared with $240.1 million in 2022.
  • Investing cash flow was a $96.9 million outflow; financing cash flow was a $408.0 million outflow. The latter included $402.4 million of common-stock repurchases.
  • Cash, cash equivalents and available-for-sale marketable securities totaled $336.0 million at year-end. Current assets were $746.4 million and current liabilities $112.5 million; reported working capital was therefore approximately $633.9 million.
  • Long-term debt had a $1.525 billion principal balance and $1.499 billion carrying value. The $805 million 2027 notes and $720 million 2028 notes were not convertible as of year-end. The $575 million revolving facility was undrawn.
  • Management stated available cash and marketable securities were expected to fund operations for at least the next 12 months. The company also reported compliance with debt covenants at year-end.

Material changes, outlook and risks

  • In November 2023, Halozyme paid $250 million under an accelerated share repurchase agreement and initially received 5.5 million shares; final share delivery was due by June 10, 2024. A new $750 million repurchase authorization was approved in February 2024.
  • Management expected royalty revenue to continue growing with partner product launches, while noting pressure from IV biosimilars on mature products and a royalty-rate reduction for certain non-U.S. DARZALEX SC sales beginning in March 2024. Product sales of bulk rHuPH20 and device-partnered products may fluctuate with partner demand.
  • Roche’s U.S. Tecentriq SC launch timing was delayed by CMC process updates; the filing described a potential 2024 launch. Roche received EU authorization in January 2024. These are post-year-end developments, not 2023 results.
  • Key risks include dependence on partners for development and commercialization; concentration of revenue among a small number of partners; regulatory and clinical uncertainty; reliance on third-party manufacturers and suppliers, including for rHuPH20; patent protection and competition; reimbursement and pricing pressure; and substantial convertible-note obligations. The filing reports that three customers each represented at least 10% of 2023 revenue, with the largest at 44%.
  • Other notable program updates included positive Phase 3 results for Roche’s subcutaneous ocrelizumab and BMS’s subcutaneous nivolumab, and disappointing argenx study results in ITP and pemphigus. Alexion and Horizon had notified Halozyme of collaboration termination or target return effective in 2024.
  • No legal proceeding was identified as having an adverse outcome expected to materially affect consolidated results or financial position. The independent auditor gave an unqualified opinion on the financial statements and internal controls; management also concluded disclosure controls and internal control over financial reporting were effective.

Important facts for investors to verify

  • Revenue and royalty growth by major partner and product, especially the durability of DARZALEX SC and Phesgo contributions and the timing of new launches.
  • Actual launch and sales progress for Tecentriq SC, ocrelizumab SC, and other partner candidates, alongside regulatory and CMC developments.
  • The impact of the March 2024 non-U.S. DARZALEX SC royalty-rate reduction and biosimilar competition on future royalties.
  • Cash generation, working-capital needs, debt service and covenant headroom, particularly as the 2027 and 2028 notes approach maturity or become convertible.
  • Completion and final share count of the 2023 accelerated repurchase, and the funding and execution of the new $750 million repurchase authorization.
  • Revenue concentration, rHuPH20 supply continuity, patent coverage, partner terminations, and any material developments in clinical safety or regulatory review.
