HALOZYME THERAPEUTICS, INC. quarterly report, Q1 FY2013

Halozyme Therapeutics, Inc. — Q1 2013 Form 10-Q

Reporting period: Three months ended March 31, 2013; comparisons are with Q1 2012 unless noted. Halozyme is a development-stage biopharmaceutical company focused on its rHuPH20 enzyme and Enhanze drug-delivery technology, with Hylenex recombinant as its marketed product and revenue also generated through collaborations.

Financial performance and liquidity

  • Revenue: $11.8 million, up 59% from $7.4 million. Product sales were $1.5 million versus $0.2 million; collaborative-agreement revenue was $10.3 million versus $7.3 million, primarily reflecting increased reimbursements for manufacturing and other services.
  • Expenses and losses: Operating expenses rose 34% to $30.3 million, including research and development of $22.0 million (up 39%) and SG&A of $7.6 million (up 14%). Operating loss was $18.5 million versus $15.1 million; net loss was $19.3 million, or $0.17 per share, versus $15.1 million, or $0.14 per share. No profit was reported.
  • Margins: Product-sales gross margin was approximately 51%, based on $1.5 million in sales and $0.7 million in product cost. The company-wide operating margin was approximately negative 156%.
  • Cash flow: Operating cash use was $10.8 million, down from $19.4 million. Investing cash use was $49.5 million, primarily purchases of marketable securities; financing cash use was $0.3 million. Cash and cash equivalents ended at $39.0 million, with $48.4 million in marketable securities.
  • Liquidity and debt: Cash, cash equivalents and marketable securities totaled $87.4 million. Long-term debt carrying value was approximately $29.7 million, including current portion. The $30 million secured loan bears 7.55% interest, matures January 2017, and requires a $2.55 million final payment. Management reported compliance with material covenants.
  • Balance sheet: Total assets were $116.9 million and stockholders’ equity was $31.7 million at quarter-end. Deferred revenue totaled $40.6 million.

Material changes and developments

  • Higher collaboration revenue was driven mainly by reimbursements for manufacturing activity supporting potential collaborator product launches. Roche-related R&D and supply reimbursements increased substantially; Q1 2012 also included a $4.0 million Roche milestone that did not recur.
  • R&D spending increased, principally due to manufacturing activity for collaborations and clinical-trial work in the insulin and PEGPH20 programs. Management expected R&D and SG&A expenses to rise as development, manufacturing, and commercial activities continued.
  • Cash and cash equivalents declined from $99.5 million at year-end, partly because $48.9 million was invested in marketable securities. Total cash and marketable securities were $87.4 million at March 31.
  • In December 2012, Pfizer entered a collaboration covering up to six targets; Pfizer had selected three exclusive targets by quarter-end. Three collaboration product candidates had been submitted for regulatory approval in the U.S. and/or Europe.

Outlook, commentary, and risks

  • Management estimated 2013 net cash burn of approximately $45–$50 million and said current cash and cash equivalents were expected to fund operations for at least 12 months. The company did not expect revenue to fund operations until 2014 at the earliest. It may seek additional financing; availability and terms are uncertain, and equity financing could dilute shareholders.
  • Q1 milestones included initiation of a Phase 2 trial of PEGPH20 with gemcitabine and nab-paclitaxel for stage IV metastatic pancreatic cancer, and initiation of the CONSISTENT 1 Phase 4 study of Hylenex as an adjunct for insulin-pump users. Management expected preliminary PEGPH20 results to be presented at ASCO in 2013 and HTI-501 Phase 2 data in Q2 2013.
  • The EMA’s CHMP issued a positive opinion for Baxter’s HyQ in adult patients with primary and secondary immunodeficiencies; this was not a U.S. approval. Baxter’s U.S. application had received an FDA complete response letter requesting additional preclinical data related to anti-rHuPH20 antibodies and potential reproductive, developmental, and fertility effects. The FDA had requested that patients no longer be dosed in the Baxter program pending sufficient data. The filing says FDA had cleared Hylenex and other clinical programs from actions based on those concerns, but future regulatory impact remained uncertain.
  • Key risks include continued losses and cash consumption, clinical and regulatory setbacks, dependence on collaborators and contract manufacturers, potential supply disruption, the shared reliance of many programs on rHuPH20, and the possibility that additional capital may not be available on acceptable terms. Collaborators may terminate agreements, and future milestone, royalty, and service revenue is uncertain.
  • The company reported no legal proceedings whose adverse outcome management believed would have a material effect on results or financial position. Disclosure controls were assessed as effective at period-end.

Most important facts for investors to verify

  • Progress and required data for Baxter’s HyQ U.S. regulatory application, and whether the antibody-related concerns affect other rHuPH20 programs.
  • Actual cash burn, collaboration reimbursements, and the adequacy of the stated cash runway relative to development and manufacturing plans.
  • Clinical trial enrollment, safety, efficacy, and timing for PEGPH20, CONSISTENT 1, and HTI-501.
  • Collaborator execution, product-launch timing, and the conversion of deferred revenue and potential milestones into cash and recognized revenue.
  • Debt repayment obligations and the company’s ability to secure additional financing without materially diluting shareholders.
