Financial position and liquidity
- At June 30, cash was $132, down from $1,341 at December 31, 2022. Six-month cash use was $1,209 net; financing provided $1,619, including $1,119 of increased short-term borrowing and $500 of additional paid-in capital.
- Current assets were $5,424 against current liabilities of $5,790; the company reported a current ratio of 0.9. Accounts receivable was $4,476.
- Short-term borrowings totaled $3,531, compared with $2,412 at year-end: $2,352 under a receivables-backed facility bearing interest at prime plus 1%, and $1,179 under a facility obtained in May 2023. Long-term contingent consideration was $2,227.
- Total assets were $16,068 and stockholders’ equity was $8,051, down from $20,763 and $12,388, respectively, at year-end. Intangible assets were $8,921.
Management said cash and expected operating cash flows should meet working-capital needs over the next 12 months, but cautioned that additional financing may be needed if liquidity or operating cash flows are insufficient and that such funding may not be available on reasonable terms.
Changes, commentary and risks
- Revenue fell 26% in Q2 and 19% for the first half. Q2 declines affected all segments: Software Services revenue fell 21% to $5,185; Managed Services and Support fell 27% to $2,865; Platform Services fell 57% to $476. For the first half, the respective declines were 3%, 28% and 66%.
- Q2 net loss widened to $1,786 from $405, reflecting lower revenue, higher interest expense and the absence of $1,087 of other income recorded in Q2 2022. Six-month net loss more than doubled. Operating expenses were lower overall in Q2, including reduced research and development and sales and marketing, while general and administrative expense increased 11%.
- Customer concentration is significant: the top five customers accounted for 81% of Q2 revenue, and one customer represented 53%. Management describes a strategic shift toward recurring managed, support and platform offerings, but notes SaaS adoption remains early and customer acceptance is uncertain.
- SecureKloud Technologies, the parent and a 59.61% shareholder, provides project resources, shared services and office space under related-party agreements. The company reported $756 of parent-provided technical services and $71 of shared services in Q2, as well as $67 of rent.
- Management reported no material COVID-19 impact in the quarter, no material legal proceedings, no material changes to previously disclosed risk factors, and effective disclosure controls as of June 30. Forward-looking risks include customer growth and retention, competition, security and privacy events, execution of SaaS and platform strategy, debt repayment, and sufficiency of cash.
Important facts for investors to verify
- Reconcile the low cash balance, negative operating cash flow, current-liability shortfall and management’s expectation of adequate liquidity for 12 months; review borrowing terms and repayment requirements.
- Verify segment operating results: the segment note reports Platform Services operating loss of $384 for Q2, while MD&A reports operating profit of $84; the note also presents a different total segment result. The filing text does not provide a clear reconciled value.
- Review customer concentration and the impact of the largest customer, as well as the drivers of broad-based revenue declines and progress in recurring subscription sales.
- Check warrant and option disclosures for consistency: the warrant activity table shows 590,923 warrants at the start of 2023 but 90,923 at June 30 without explaining the change; the option disclosures also contain figures that appear inconsistent.
- Assess reliance on the parent and the $2,227 contingent-consideration liability, including potential cash demands and the assumptions underlying its valuation.
