Gross margin information is not presented as a separate GAAP measure. Operating margin improved primarily because direct operating expenses declined 3.2% and depreciation and amortization declined 2.5%, partly offset by higher corporate expenses and $9.0 million of other operating expense.

Material changes versus the prior comparable period

  • iHM operating income increased 12% to $161.9 million, supported by traffic and weather, syndication, events, and higher barter revenue; core local broadcast revenue declined.
  • Americas outdoor operating income increased 6% to $43.7 million, driven by digital billboards and Times Square spectaculars.
  • International outdoor operating loss improved to $11.5 million from $18.4 million, despite a $50.1 million foreign-exchange revenue impact.
  • Operating cash flow deteriorated substantially because of working-capital timing, including lower accrued expenses and accrued interest, and higher cash interest payments of $495.0 million versus $412.6 million.
  • The Company issued $950.0 million of 10.625% Priority Guarantee Notes due 2023 and used proceeds primarily to repay $931.3 million of 2016 term-loan borrowings. It also drew $120.0 million under its receivables-based credit facility.
  • Weighted-average debt interest rates increased to 8.4% from 8.1% at December 31, 2014, contributing to higher interest expense.
  • Shareholders’ deficit increased to $10.154 billion from $9.665 billion at December 31, 2014, primarily reflecting the quarterly net loss and foreign-currency translation losses.

Liquidity, outlook, risks, and unusual items

Management stated that cash on hand, operating cash flow, and borrowing capacity were expected to fund working capital, capital expenditures, debt service, and other requirements for at least the next 12 months, subject to significant assumptions. The Company anticipated approximately $1.3 billion of cash interest requirements for the remainder of 2015 and reported debt maturities of $195.5 million in 2016, $126.8 million in 2017, and $909.3 million in 2018.

The Company was in compliance with its financing covenants at March 31, 2015. Its senior secured net debt-to-EBITDA ratio was 6.4:1 against a maximum of 8.75:1. Management cautioned that adverse operating performance, limited refinancing access, covenant breaches, or failure to complete liquidity-generating transactions could create substantial liquidity problems.

  • On April 3, 2015, the Company sold 367 broadcast tower sites for $369 million and entered into leases for continued use; the broader transaction contemplated up to $400 million of proceeds.
  • The Company sold San Antonio office and data-center properties for $34.3 million and entered into annual lease obligations of $2.6 million. A $0.2 million loss and an $8.1 million gain recognized over the lease term were associated with the transactions.
  • The Company incurred $10.4 million of strategic revenue and efficiency initiative costs in Q1 2015, including severance, consolidation, consulting, and restructuring-related costs.
  • Legal and regulatory matters include ordinary-course litigation, the Los Angeles digital billboard permitting dispute, and an April 2015 competition-authority investigation involving operations in Denmark, Sweden, and the United Kingdom.
  • Approximately 31% of aggregate debt carried floating interest rates. The filing estimates that a 100% change in LIBOR would have changed quarterly interest expense by approximately $2.8 million.
  • International results remain exposed to foreign-exchange movements, economic conditions, advertising demand, competition, regulation, litigation, technology changes, and labor costs.

Most important facts for investors to verify

  • Whether operating cash flow can improve sufficiently to support approximately $1.3 billion of remaining 2015 cash interest requirements.
  • The availability and terms of refinancing or other liquidity-generating transactions before scheduled debt maturities.
  • Progress on debt reduction, covenant headroom, and the effect of the high-cost 2023 notes on future interest expense.
  • Whether iHM growth and digital outdoor expansion offset declines in core local radio, foreign-exchange pressure, and seasonal International outdoor losses.
  • The financial and operational impact of the tower sale-and-leaseback, related lease obligations, and other asset dispositions.
  • The outcome of the Los Angeles billboard litigation and the Danish, Swedish, and UK competition investigation.
