- Margins: Q3 operating margin was approximately 35%; nine-month operating margin was approximately 5%. Product cost of revenue remained unusually low ($0.2 million in Q3; $0.6 million year to date) because of remaining pre-approval inventory. The filing expects product costs to reach the mid-single digits as a percentage of product sales after that inventory is used.
- Cash and liquidity: At September 30, cash and cash equivalents were $382.0 million and available-for-sale marketable securities were $150.4 million, or $532.4 million combined. Current assets were $662.6 million and current liabilities $124.7 million.
- Cash flows: Nine-month operating cash flow was negative $18.5 million, versus positive $20.9 million a year earlier. Investing cash flow was negative $134.9 million, including $113.3 million of securities purchases and $22.0 million of capital expenditures. Financing cash flow was positive $64.0 million, mainly from stock-plan issuances. Cash declined $89.4 million to $382.0 million.
- Debt and equity: Convertible notes had a $681.3 million carrying amount; aggregate principal was $841.4 million. Principal included $91.4 million due in 2015, $375.0 million due in 2018 and $375.0 million due in 2020. Stockholders’ deficit was $89.6 million. Nine-month interest expense was $34.3 million, including $26.6 million of non-cash debt-discount amortization.
- Other balance-sheet items: Total assets were $785.3 million. Property and equipment, net, increased to $75.3 million from $26.8 million at year-end 2013, largely reflecting construction of the new headquarters.
Material changes versus prior comparable periods
- Q3 revenue rose about 133% year over year; nine-month revenue increased about 50%. JAKAFI product growth was attributed to increased underlying demand; royalties also rose.
- Q3 contract revenue included significant Novartis milestones. Nine-month 2014 contract revenue included a $60 million European JAKAVI reimbursement milestone, a $25 million Japan approval milestone and a $7 million INC280 development milestone. This makes contract revenue and quarterly profitability sensitive to milestone timing.
- Q3 shifted from a $22.0 million loss to $59.3 million net income. For the first nine months, the net loss narrowed from $40.3 million to $11.5 million, but the period remained loss-making.
- R&D and SG&A increased, reflecting pipeline development and increased development and commercial headcount and activity. Stock-based compensation rose to $46.3 million for nine months from $28.6 million.
- Accounts receivable increased to $109.6 million from $35.4 million at year-end 2013; management cited changes in receivables as a factor in the operating cash-flow comparison.
Outlook, developments and risks
- Management said available cash, cash equivalents and marketable securities were expected to meet capital needs for at least the next 12 months. It also cautioned that future funding needs depend on development and commercialization spending, product performance, milestones, debt and other factors; additional financing may be required.
- Ruxolitinib’s supplemental application for polycythemia vera (PV) was submitted to the FDA in June 2014, with a stated PDUFA date of December 5, 2014. The registration RESPONSE trial met its primary endpoint. The separate RELIEF PV trial did not meet its primary endpoint; the company reported positive trends and planned to present further analyses.
- Two Phase III JANUS trials of ruxolitinib for pancreatic cancer were underway, focused on patients with elevated C-reactive protein. Baricitinib’s rheumatoid arthritis Phase III program was ongoing under Lilly collaboration.
- Incyte terminated development of INCB47986 following preclinical toxicology findings, which the company said had not been observed in its other JAK inhibitor programs. It was redirecting INCB24360 development toward combinations with anti-PD-1/PD-L1 therapies.
- The new approximately 190,000-square-foot headquarters lease commenced October 1, 2014 and runs for 15 years. The company recorded $68.3 million of construction assets and a $48.9 million lease liability at September 30; it also had a $15.0 million restricted-investment-backed letter of credit.
- Key risks include dependence on JAKAFI and third-party reimbursement, concentration among specialty pharmacy customers, reliance on single-source suppliers and external manufacturers, clinical and regulatory uncertainty, collaboration-partner dependence, substantial debt, and potential need for additional capital. The filing notes accumulated losses of $1.7 billion and says sustained profitability is not assured.
