Material changes versus prior periods
- The February 2015 acquisition of Peoples Federal Bancshares added $463.9 million of loans and $432.3 million of deposits at acquisition, and $2.05 million shares were issued. Total consideration was $141.8 million. Nine-month merger and acquisition expense was $10.5 million for Independent Bank; the filing reports $16.7 million of aggregate merger-related costs for the companies in pro forma information.
- Loans increased $527.4 million from year-end, including $463.9 million acquired and $63.5 million organic growth. Organic growth was concentrated in commercial real estate, commercial construction, small business, and home equity; residential real estate and commercial and industrial loans declined organically.
- Nonperforming loans were $29.6 million, or 0.54% of gross loans, versus $27.4 million and 0.55% at year-end. Nonperforming assets declined to $32.1 million from $38.9 million, helped by sales of foreclosed property and the second-quarter sale of nonaccrual securities.
- Allowance for loan losses was $55.2 million, 1.00% of loans versus 1.11% at year-end. Net charge-offs were $0.9 million for the first nine months versus $6.9 million a year earlier. Management attributes the lower allowance ratio partly to acquired loans recorded at fair value without a carryover allowance.
- Borrowings declined to $351.1 million from $406.7 million. The company redeemed $30 million of subordinated debt in Q1 and repaid $50 million of wholesale repurchase agreements at maturity in Q3.
Outlook, commentary, and risks
- Management expected full-year 2015 diluted operating EPS to be at the upper end of its previously provided $2.63–$2.73 range. Assumptions included organic loan growth of 1%–2%, organic deposit growth of 3%–4%, net interest margin in the low 3.40s%, and stable asset quality.
- Other outlook assumptions were $2–$3 million of loan-loss provision, $1–$2 million of net charge-offs, 3%–4% growth in core noninterest income and expense (excluding Peoples), an effective tax rate slightly above 28.5%, and year-end tangible common equity ratio of 7.75%–8.00%.
- Management said Q3 margin pressure reflected higher liquid-asset levels and continued loan-yield pressure, partly offset by securities prepayments. The company described its loan strategy as emphasizing commercial and home-equity lending and its balance sheet as intentionally asset-sensitive.
- Interest-rate simulations showed estimated first-year net interest income up 5.4% for a +100-basis-point parallel shock and down 0.4% for a −100-basis-point shock. Management cautioned that results depend on assumptions, particularly deposit repricing, loan and mortgage prepayments, and customer behavior.
- Key disclosed risks include regional economic or real-estate weakness, credit deterioration, changing interest rates, acquisition integration and synergy shortfalls, customer or employee retention, competition, regulatory and tax changes, securities-market deterioration, technology and cybersecurity events, and fraud. Management said pending litigation was not expected to have a material adverse effect; no material changes to previously disclosed risk factors were reported.
Important facts for investors to verify
- Whether Peoples integration delivers the expected revenue synergies and cost performance, and how acquisition-related expenses and purchase accounting affect future earnings.
- Whether the reported organic loan and deposit growth trends continue, and how commercial real-estate concentration and regional property values affect credit quality.
- Whether nonperforming loans, potential problem loans, charge-offs, and the allowance remain consistent with management’s stable-asset-quality outlook.
- Whether deposit costs and loan yields preserve margin, particularly under faster deposit repricing or other interest-rate scenarios.
- Whether the full-year operating EPS and capital-ratio outlook is achieved; compare management’s non-GAAP measures with GAAP results and review the stated exclusions.
- How available liquidity capacity, pledged collateral, and off-balance-sheet commitments—including $2.01 billion of commitments to extend credit—evolve.
