Adjusted measures are non-IFRS measures and should be considered alongside, not instead of, reported results. Based on reported figures, the operating margin was approximately negative 0.4% and net margin approximately 0.2% in 2023; adjusted operating margin was approximately 24.6%.

Material changes versus FY2022

  • Revenue rose 21%, led by SUBLOCADE, up 54% to $630 million, and PERSERIS, up 50% to $42 million. Sublingual/other product revenue fell 9% to $421 million as competition pressured SUBOXONE Film and legacy tablets.
  • U.S. revenue increased 25% to $912 million; the filing’s country breakdown implies about 83% of total revenue. Three large U.S. wholesalers represented 54% of global revenue.
  • Reported operating loss narrowed to $4 million from $85 million, but results continued to include substantial legal charges: $273 million of net exceptional costs before tax in 2023, versus $297 million in 2022. Adjusted operating profit grew 27%.
  • Operating cash flow deteriorated mainly because of litigation-related cash outflows of approximately $610 million, including funds placed in escrow. Cash and cash equivalents fell by $458 million during the year.
  • R&D expense increased 47% to $106 million. The company acquired Opiant and OPVEE, purchased full rights to INDV-2000, licensed Alar’s long-acting injectable portfolio, and acquired a Raleigh manufacturing facility.

Liquidity, debt and commitments

At year-end, cash of $316 million plus investments of $135 million provided reported gross liquidity of $451 million. The $244 million principal term loan (reported carrying amount $239 million, net of issuance costs) bears a floating rate; the average interest rate was 10.54% in 2023. It matures June 30, 2026, includes quarterly amortization and requires minimum liquidity of the greater of $100 million or 50% of loan principal outstanding.

Contractual cash flows were reported at $837 million, including borrowings, legal settlements, leases and share repurchase liabilities; $415 million of direct-purchaser and end-payor settlement funds held in escrow were excluded from that total. The DOJ resolution liability was $397 million at year-end; a further $53 million payment was made in January 2024, with scheduled installments thereafter. The filing states that management expects liquidity and operating cash flows to meet requirements for the foreseeable future and reports sufficient liquidity under its going-concern downside scenario through June 2025.

Outlook, risks and unusual items

  • Management expects U.S. buprenorphine treatment-market growth to remain in the mid- to high-single-digit range over the long term. The filing text provided does not give a clear numerical 2024 revenue or profit guidance figure.
  • Management expects litigation cash costs to be substantially lower in 2024 than in 2023. It forecasts $45–$55 million of capital expenditure over three years to develop Raleigh manufacturing capacity and stated that up to $78 million of further share repurchases could affect 2024 financing cash flow.
  • OPVEE was launched in October 2023 and had limited sales to date. A BARDA contract provides $32.4 million in designated funding and includes purchase options through 2033; commercial adoption and the resulting revenue remain uncertain.
  • Major risks include competition and generic erosion, reliance on a small number of products and third-party manufacturers, controlled-substance regulation, reimbursement and pricing pressure, clinical and regulatory uncertainty, and substantial litigation. More than 400 civil opioid lawsuits and over 40 consolidated tooth-damage lawsuits were disclosed; the filing says potential losses in these matters could not be estimated.
  • The Antitrust MDL settlements totaled $518 million ($385 million direct purchasers, $30 million end payors and $103 million states). The direct-purchaser settlement received final court approval in February 2024. Other insurer claims remained pending, with a trial scheduled for July–August 2024; the company said it could not estimate a loss range.
  • The Raleigh facility carried a $28 million onerous-contract provision, with performance obligations extending through 2025. Building and validating capacity for Indivior products is expected to require approximately $50 million and about three years. The FDA issued six observations at the Raleigh site in January 2024; the company submitted a remediation plan.
  • The 2023 balance sheet showed no consolidated equity and total liabilities equal to total assets, reflecting accumulated equity impacts including repurchases and other reserves. Deferred tax assets were $268 million, dependent on future taxable profits.

Important facts for investors to verify

  • Reconcile the substantial difference between reported IFRS profit and adjusted profit, including the assumptions and cash implications of exceptional legal provisions.
  • Track settlement approvals, remaining DOJ/RB payment schedules, escrow releases, and outcomes of pending insurer, opioid, shareholder and product-liability cases.
  • Assess whether SUBLOCADE growth can offset declining sublingual sales and increased competition, and whether OPVEE gains adoption beyond its initial limited sales.
  • Monitor liquidity against the term-loan covenant and 2026 maturity, especially after settlements, repurchases and Raleigh investment.
  • Verify Raleigh remediation progress, FDA inspection outcomes, validation milestones, cost estimates and any impact on supply from existing manufacturing partners.
  • Review the recoverability of deferred tax assets and development intangible assets, whose values depend on forecasts and regulatory success. The auditor issued an unqualified opinion on the IFRS consolidated financial statements.
