Changes versus prior comparable periods

  • Q3 revenue fell from $0.4 million in 2011 to zero; nine-month revenue fell from $3.0 million to zero. Prior-year revenue included IPLEX expanded-access program income and license fees. IPLEX cost-recovery revenue ended after inventory was depleted in December 2011.
  • Q3 net loss improved from $34.6 million to $9.4 million, largely because 2011 included a $26.0 million noncash impairment charge. Nine-month net loss attributable to common stockholders improved from $60.7 million to $25.9 million; 2011 also included that impairment and a $9.2 million noncash preferred-stock beneficial conversion charge.
  • Nine-month R&D expense declined 18% to $17.6 million, primarily as 2011 included an additional U.S. CF trial; increased clinical manufacturing costs partly offset the decline. G&A rose to $9.0 million from $8.5 million, partly due to executive separation costs.
  • Cash, cash equivalents, investments and certificate of deposit increased $13.5 million from year-end 2011, reflecting the equity offering and loan proceeds, partly offset by operating cash use. The company had no debt at December 31, 2011.

Outlook, developments and risks

  • Insmed expected to report results in 2013 from CLEAR-108, a European and Canadian Phase 3 ARIKACE study in cystic fibrosis patients with Pseudomonas lung infections, and TARGET-NTM, a U.S. Phase 2 study in patients with NTM lung disease. CLEAR-110 is an optional longer-term open-label safety study. The FDA had lifted clinical holds on ARIKACE in both indications.
  • The company stated that it expected no material revenues for at least several years and anticipated continued losses. It warned that further capital may be needed; unavailable or unfavorable financing could force delays or reductions in development programs, asset dispositions, or cessation of operations.
  • In June, Insmed obtained a $10 million term-loan advance from Hercules, with an additional $10 million available at its option through December 31, 2012. The loan carries interest of at least 9.25%, has a January 2016 maturity, and grants the lender a first lien on company assets other than intellectual property. An interest-only extension depends on ARIKACE milestones.
  • A new ARIKACE composition-of-matter patent was issued in August, with stated exclusivity through mid-August 2028. The Premacure license for IGF-1/IGFBP-3 remained subject to a waiver from Tercica; a waiver from Genentech had been received.
  • Two legal matters remained unresolved: the Cacchillo suit, with a summary-judgment motion pending and potential trial scheduled for January 2013, and the Transave appraisal action, for which trial was anticipated in the second half of 2013. Insmed said potential losses could not be estimated.
  • After the September equity offering, Nasdaq issued a Letter of Reprimand over the company’s noncompliance with a listing rule concerning issuance of 20% or more of outstanding shares below book value. Nasdaq stated the matter was closed; Insmed said it would implement additional controls.
  • Management reported effective disclosure controls and no material changes in internal control over financial reporting during the quarter. The filing reported no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Whether CLEAR-108 and TARGET-NTM meet enrollment, safety, efficacy and timing expectations, and whether results are delivered in 2013.
  • Cash burn and runway against management’s 12-month liquidity assessment, including whether the remaining $10 million loan option was drawn by its deadline and whether additional financing is needed.
  • Regulatory and development requirements for ARIKACE, including manufacturing, clinical supply and any future FDA actions.
  • Progress and potential exposure in the Cacchillo and Transave appraisal cases; the filing provides no clear estimate of possible losses.
  • Nasdaq compliance follow-up and the dilution implications of the September share issuance and outstanding warrants, options and restricted stock units.
