Financial position and liquidity
At March 31, 2024, cash and cash equivalents were $270.1 million, up from $203.7 million at year-end. Current assets were $912.9 million and current liabilities $364.9 million; reported working capital was $548.0 million. Adjusted working capital, a company-defined non-GAAP measure, was $307.5 million, down from $329.1 million.
Operating cash flow of $80.6 million was supported by working-capital reductions, higher profitability and changes in tax payments. Investing cash outflow was $14.3 million, including $10.7 million of capital expenditures and $3.7 million for internally developed software. Financing cash flow was $0.5 million. The company reported no borrowings under its $250 million revolving credit facility, available through May 30, 2027, and no finance-lease obligations.
Total assets were $1.733 billion and total liabilities $546.6 million. Plant-closure provisions totaled $61.2 million. Cash balances and operating cash generation indicate substantial liquidity, though the filing does not provide a formal liquidity forecast.
Material changes, outlook and risks
- Revenue declined modestly, while gross margin and earnings improved, primarily reflecting lower raw-material costs and improved margins in Performance Chemicals and Fuel Specialties.
- Management said Oilfield Services production-chemicals activity had softened sequentially and expected short-term activity to remain below previous quarters; it plans to pursue growth and margin improvement in other oilfield segments. The filing provides no consolidated earnings or revenue guidance.
- Performance Chemicals sales benefited from increased demand and the QGP acquisition; Fuel Specialties sales were affected by milder winter weather, lower AvGas volumes and product mix. Oilfield Services sales were down year over year.
- Cash flow benefited from working-capital movements, including lower receivables. Inventories increased, partly reflecting deliberate stock levels to mitigate supply-chain disruption risk, particularly in Fuel Specialties.
- QGP acquisition accounting remains provisional. The company recorded a $0.8 million contingent-consideration accretion expense; related contingent consideration was $23.5 million at quarter-end. Implementation of internal controls at QGP was in progress and expected to be completed in 2024; QGP was excluded from management’s internal-control assessment.
- Tax exposures include $15.0 million of unrecognized tax benefits and related interest and penalties. Management said a $10.5 million decrease was reasonably possible during 2024 due to a statute-of-limitations lapse. Ongoing U.K. and Italian tax matters are also described; the Italian liability is covered by an indemnification asset.
- The company continues to report losses and legal claims relating to alleged inventory misappropriation in Brazil; no significant developments were reported, and no recovery asset was recorded. Guarantees not recognized as liabilities totaled $6.8 million.
- Foreign-exchange and other market risks were described as not significantly changed from the 2023 Form 10-K. Management reported no material changes to disclosed risk factors. Currency translation reduced Q1 comprehensive income, with a $7.7 million translation loss before tax.
Important facts for investors to verify
- Whether improved gross margins and earnings can be sustained as raw-material prices, product mix and segment demand change.
- The pace of the Oilfield Services slowdown, especially production-chemicals activity, and progress in other oilfield businesses.
- Cash conversion and working-capital trends, including inventory levels and the drivers of receivables and payables movements.
- Resolution and timing of the tax matters, particularly the potential $10.5 million statute-of-limitations-related release.
- Further developments, recoveries or costs related to the Brazil inventory matter, and completion of QGP purchase accounting and internal-control integration.
