  • Recurring revenue, including instruments and accessories, service, and operating leases, grew to $3.356 billion, or 77% of revenue, from $3.239 billion, or 72%.
  • Approximately 1.243 million da Vinci procedures were performed (+1%); system shipments fell 16% to 936. The installed base increased 7% to 5,989 systems, while utilization per system declined 2%.
  • Q4 2020 revenue was $1.329 billion versus $1.278 billion in Q4 2019. Q4 net income attributable to Intuitive was $365 million versus $358 million.
  • Year-end current assets were $6.626 billion and current liabilities $965 million. The filing reports no borrowings or financial debt; total liabilities were $1.410 billion. Cash and investments substantially exceeded liabilities.

Material changes and drivers

  • COVID-19 sharply disrupted elective procedures and hospital purchasing. Revenue declined despite modest procedure growth, chiefly because system placements fell and customer decisions to buy or lease systems were deferred.
  • Gross margin contracted due to excess and obsolete inventory, low factory utilization, higher freight costs, product transitions, and other pandemic-related impacts. Operating expenses rose 4%, including higher personnel, share-based compensation, infrastructure, and research and development costs.
  • Instruments and accessories revenue growth reflected procedure volume, Q4 stocking orders ahead of the Extended Use Instrument launch, and advanced-instrument sales. The program increases eligible instruments’ uses from 10 to 12–18 and is expected to lower revenue per procedure as it rolls out.
  • Operating cash flow remained strong, but was below 2019. Inventory growth and increases in prepaid and other assets were significant uses of operating cash. Investing outflow included $342 million of capital expenditures and the Orpheus Medical acquisition.

Outlook, commentary, risks and unusual items

  • Management said COVID-19’s future effect on procedure volumes and hospital spending could not be reliably estimated. Resurgences were already affecting procedures into January 2021; management expected Q1 2021 system placements to be lower year over year and placements to lag procedure recovery.
  • Management expects 2021 capital expenditures to exceed $300 million and remain in a relatively consistent range in 2022. It anticipates continued substantial investment in R&D, with R&D expense expected to increase.
  • The Extended Use Program and lower prices on certain instruments are expected to reduce revenue per procedure. Using 2019 procedure volume and mix, management estimated a $150–$170 million reduction in annual instrument and accessory revenue; actual impact depends on future mix, volume, and demand response.
  • The customer relief program reduced 2020 service revenue by $80 million. It also deferred $15 million of lease billings and extended payment terms on $181 million of billings; $19 million remained outstanding at year-end.
  • Unusual financial items included a $39.3 million income-tax expense increase following a court decision on intercompany share-based compensation, and investment gains including approximately $45 million related to Teladoc’s acquisition of InTouch and approximately $22 million of gains on other strategic investments. The 2020 tax rate was 11.6%, affected by share-based compensation tax benefits and other items.
  • Key risks include pandemic-related procedure and capital-spending uncertainty; competition; reimbursement and regulatory changes; product liability and patent litigation; supply-chain dependence; foreign-market and currency exposure; and cybersecurity and privacy risks. Product-liability matters remain pending, and the company could not estimate potential losses exceeding recorded amounts. An Ethicon-related USITC investigation could affect stapler imports or product features.
  • The independent auditor issued an unqualified opinion on the financial statements and internal controls; management and the auditor concluded internal control over financial reporting was effective as of year-end.

Important facts for investors to verify

  1. Whether procedures and hospital capital spending recover, and how that translates into system placements, utilization, and recurring revenue.
  2. The realized effect of Extended Use Instruments and instrument price reductions on revenue per procedure, adoption, and gross margin.
  3. Whether pandemic-related factory underutilization, inventory charges, and service relief continue to pressure margins and cash flow.
  4. Customer credit quality and collection performance, including lease exposure and remaining balances from the relief program.
  5. Outcomes and potential costs of product-liability claims, Ethicon patent proceedings, and repair/service antitrust litigation.
  6. Whether planned capital investment and rising R&D spending produce expected commercial returns, particularly for Ion, da Vinci SP, and informatics initiatives.
