KLA CORP quarterly report, Q3 FY2023

KLA Corporation — Form 10-Q Summary

Reporting period: The filing covers the fiscal quarter and nine months ended March 31, 2023. Although the request metadata says “2022 Q3,” this is KLA’s fiscal third quarter of 2023. Financial amounts below are in U.S. dollars.

Business context and results

KLA supplies semiconductor process-control, inspection and metrology equipment and services, alongside specialty semiconductor and PCB, display and component inspection products. Semiconductor Process Control is its largest reportable segment.

MetricThree months ended March 31, 2023Year-over-year comparison
Revenue$2.433 billionUp 6% from $2.289 billion
Product revenue$1.903 billionUp 6%
Service revenue$529.1 millionUp 8%
Gross margin58.7%Down from 61.0%
Net income attributable to KLA$697.8 millionDown from $730.6 million
Diluted EPS$5.03Up from $4.83

For the nine months, revenue rose 21% to $8.141 billion and KLA-attributable net income rose 7% to $2.703 billion. Diluted EPS was $19.16 versus $16.52. The prior-year nine-month tax provision was unusually low, making the net-income comparison less straightforward.

Quarterly segment revenue increased 10% year over year in Semiconductor Process Control and Specialty Semiconductor Process, while PCB, Display and Component Inspection declined 31%. Management attributed growth in the first two segments to demand for inspection and metrology products and specialty semiconductor markets; the latter segment’s decline reflected market softening.

Cash flow, balance sheet and capital allocation

  • Nine-month operating cash flow was $2.711 billion, versus $2.493 billion a year earlier. The company cited higher collections and interest income, partly offset by increased supplier, employee, tax and interest payments.
  • Nine-month investing cash outflow was $408.1 million; financing cash outflow was $2.319 billion. Cash and cash equivalents ended the period at $1.569 billion.
  • Cash, cash equivalents and marketable securities totaled $2.890 billion at March 31, 2023, up from $2.708 billion at June 30, 2022. Working capital was $4.60 billion.
  • Long-term debt carrying value was $5.890 billion. KLA had no Revolving Credit Facility borrowings outstanding and reported compliance with debt covenants; its reported leverage ratio was 1.23 to 1.00.
  • During the nine months, KLA repurchased approximately $943 million of shares and paid $553 million in dividends. The quarterly dividend was $1.30 per share; $2.29 billion remained authorized for repurchases.

Outlook, risks and unusual items

  • Management said the macro-driven semiconductor slowdown was continuing: customers were reducing or postponing capacity-expansion spending for calendar 2023. KLA said it was moderating spending while continuing technology investment. The filing does not provide a clear numerical company revenue or earnings forecast.
  • Remaining performance obligations were $11.94 billion. KLA expected approximately 45% to 55% to be recognized as revenue beyond the next 12 months; timing remains subject to supply constraints and customer changes to delivery schedules.
  • U.S. export rules introduced in October 2022 impose licensing requirements affecting KLA products and services for certain advanced semiconductor manufacturing in China. KLA said licenses may not be granted and that adverse outcomes could reduce backlog or require customer-deposit refunds. The rules had not significantly affected operations to date, but future effects could be material.
  • Gross margin pressure was attributed chiefly to higher service and manufacturing costs; greater revenue volume partly offset the pressure. Inventory increased to $2.750 billion from $2.147 billion at June 30, 2022, and management warned that delivery push-outs or cancellations could increase inventory-related charges.
  • Interest expense rose 87% year over year in the quarter, primarily reflecting the $3.0 billion of senior notes issued in June 2022. Nine-month results also included a $13.3 million debt-extinguishment loss and a $29.7 million gain on the sale of Orbograph.
  • Nine-month effective tax rate was 10.3%, versus 0.9% in the prior-year period, which included substantial one-time tax effects from intellectual-property transfers and other tax items. Current-period tax results also included non-recurring benefits.
  • KLA recorded $35.9 million of restructuring charges for the nine months, including workforce-reduction costs and one-time transaction bonuses related to the Orbograph sale. It reported a February 2023 supplier ransomware event that delayed some component shipments and KLA outbound shipments.
  • Other material exposures include customer concentration, semiconductor cyclicality, supply-chain availability, cybersecurity, foreign-exchange and interest-rate risks, tax examinations, and legal claims. KLA said it had no material off-balance-sheet arrangements and that disclosure controls were effective at a reasonable assurance level.

Important facts for investors to verify

  • Whether semiconductor customer spending, order timing and KLA’s $11.94 billion of remaining performance obligations develop as management anticipates.
  • How U.S. export-license decisions affect China-related revenue, backlog, customer deposits and the ability to reallocate products to other customers.
  • Whether higher service and manufacturing costs, elevated inventory and delivery changes continue to pressure gross margins or lead to inventory charges.
  • The sustainability of cash generation and capital returns given $5.89 billion of debt, planned repurchases and dividend commitments.
  • How reported earnings compare after accounting for unusual items, including prior-year tax benefits, the current-period Orbograph gain and restructuring charges.
