| Basic and diluted loss per share | $0.22 | $0.26 | $0.54 | $0.54 |
- Revenue and margins: Quarterly revenue fell 39%; six-month revenue fell 25%. Lower component sales drove the decline, while chip revenue rose as the company sold more low-priced chips and discounted older inventory. LED component volume declined sharply. Competitive price pressure and underused manufacturing capacity contributed to substantially worse gross margins.
- Expenses and unusual items: Operating expenses declined year over year, including lower R&D spending and legal costs. Six-month bad-debt expense was $0.8m; management cited charges on customer receivables and said it had stopped sales to affected customers. A $0.8m foreign-currency transaction gain in Q2 partly offset operating losses; the six-month period recorded a $0.2m currency loss.
- Cash flow: Six-month operating cash use was $7.5m, versus $8.0m a year earlier. Investing activities provided $3.9m, principally from the sale of $8.8m in short-term investments, partly offset by a $2.9m investment in HPO and $2.0m of capital spending. Financing cash use was $0.3m. Cash declined $3.3m to $43.9m.
- Liquidity and debt: At February 28, cash and cash equivalents were $43.9m; current assets were $59.0m and current liabilities $9.1m. Total debt was about $7.3m, including $1.6m current and $5.7m long-term; bank lines of credit had no outstanding balance. The company said available cash should meet requirements for at least 12 months at current operating and spending levels, but warned additional financing may be needed if operations do not generate positive cash flow.
- Balance sheet: Total assets were $110.8m, down from $127.5m at August 31, 2012. Stockholders’ equity was $94.9m. Inventory declined to $10.2m from $13.0m.
Material changes, outlook and risks
- Management attributed weak results to falling demand for a lower-priced component category, LED chip price erosion, and continued manufacturing underutilization. It highlighted product mix, customer demand, pricing and production utilization as drivers of future results. No specific revenue or earnings guidance was provided.
- The company expects to continue capital investment as market conditions and customer demand warrant. Six-month capital expenditures were $2.0m, compared with $9.1m in the prior-year period; purchase commitments for property and equipment were $4.1m at quarter-end.
- In October 2012, SemiLEDs invested $2.9m for a 9.9% interest in High Power Optoelectronics (HPO), became a product distributor and entered a joint R&D agreement. It has an option to raise its ownership above 50% within one year.
- A proposed China SemiLEDs restructuring, subject to regulatory approval, would dilute SemiLEDs’ stake from 49% to approximately 16.3%; the other shareholder would contribute about $8.0m and assume control. Management said recovery of its investment was uncertain and planned to pursue China opportunities through its wholly owned Shenzhen subsidiary.
- The Cree patent dispute was settled in June 2012. An injunction effective October 1, 2012 bars making, using, importing, selling or offering certain accused products in the United States. The company reported no material pending legal proceedings as of February 28, 2013, but the parties retained the right to assert withdrawn claims in the future.
- SemiLEDs received a NASDAQ minimum-bid-price deficiency notice in February 2013 but reported regaining compliance on April 5, 2013 after its bid price exceeded $1 for 10 consecutive business days. Continued listing compliance is not assured.
- Key risks include sustained losses, pricing and competitive pressure, customer and geographic concentration, low factory utilization, product qualification and manufacturing yields, supplier dependence, currency exposure, and intellectual-property claims. New conflict-minerals disclosure requirements may increase costs or constrain sourcing.
- Management concluded disclosure controls were effective at a reasonable-assurance level as of February 28, 2013; it reported no material change in internal control over financial reporting during the quarter.
