Total assets were $101.136 million and total liabilities were $17.206 million. Debt was approximately $7.839 million, comprising $1.917 million current and $5.922 million long-term; bank lines of credit had no material balance outstanding. The company also reported a $0.2 million one-year loan from a subsidiary shareholder.
Nine-month investing cash flow was positive $3.257 million, mainly reflecting $8.831 million in proceeds from short-term investments, offset in part by the HPO investment and capital expenditures. Financing cash flow was positive $0.404 million. Cash decreased by $5.861 million over the nine months.
Material changes versus prior comparable periods
- Quarterly revenue fell from $9.178 million to $3.526 million; nine-month revenue fell from $23.830 million to $14.583 million. The main weakness was LED components: down 67% for the quarter and 56% year to date, as demand slowed for lower-priced products.
- LED chip revenue also declined despite higher unit volumes: the company discounted and cleared older inventory made obsolete by its newer EV product series. Average selling prices fell 76% in the quarter and 68% year to date.
- Cost of revenue declined much less than sales, leaving gross losses substantially wider. Management cited low factory utilization, excess-capacity costs and inventory valuation adjustments.
- Quarterly and year-to-date operating expenses included $1.077 million of goodwill impairment and $0.851 million of customer-relationship intangible impairment related to Ning Xiang. The company also recorded a $1.885 million impairment of its HPO investment. These charges total $3.813 million.
- The prior-year periods included a $1.5 million Cree litigation settlement provision; the settlement was paid in July 2012. Lower equity-method losses in 2013 primarily reflected the company no longer recognizing China SemiLEDs’ losses after its investment carrying value was reduced to zero.
Outlook, management commentary, risks and contingencies
Management said existing cash should meet requirements for at least the next 12 months based on current operations and spending, but warned additional financing might be needed if operating cash flow does not improve. No specific revenue, earnings or margin guidance is provided. Management identified profitability, revenue growth and gross-margin improvement as key challenges.
- Management attributed the downturn to aggressive LED pricing, weaker demand, customer qualification and distribution delays for new EV products, and underused manufacturing capacity. It also reported lower near- and long-term revenue and profitability forecasts for Ning Xiang, prompting its impairment charges.
- SemiLEDs acquired an additional 15% of Ning Xiang in April 2013, increasing ownership to 66%. Its China strategy shifted away from China SemiLEDs; a proposed restructuring of that investee remained subject to regulatory approval, and recovery of the company’s investment was uncertain.
- The $2.9 million HPO investment, acquired in October 2012 with an option to increase ownership, was impaired by $1.885 million. The company had also become an HPO distributor and entered a joint R&D agreement.
- The Cree settlement injunction, effective October 1, 2012, bars certain accused products from being made, used, imported, sold or offered for sale in the United States. The filing reports no material pending legal proceedings as of May 31, 2013, but a putative securities class action against the company and certain current and former officers and directors was filed July 10, 2013, after quarter-end, concerning the IPO.
- SemiLEDs regained compliance with Nasdaq’s minimum bid-price requirement on April 5, 2013, but warned that future compliance is not assured. Other stated risks include customer and geographic concentration, competition and price erosion, supplier dependence, intellectual-property claims, foreign-exchange exposure, and potential impairments. A new conflict-minerals disclosure requirement was also identified.
- Management reported disclosure controls effective at a reasonable assurance level and no material change in internal control over financial reporting during the quarter.
