Ligand Pharmaceuticals Inc. — Q2 2014 Form 10-Q
Reporting period: Quarter and six months ended June 30, 2014. Ligand is a biopharmaceutical company built around royalties, licenses, milestones, Captisol material sales, and a lean operating structure. Figures below are in U.S. dollars; financial statement amounts are in millions unless noted.

- Q2 revenue comprised royalties of $5.2 million, Captisol and other material sales of $3.5 million, and collaborative R&D and other revenue of $1.9 million. For the first half, those categories were $13.1 million, $9.2 million, and $4.3 million, respectively.
- Royalty growth reflected higher Promacta and Kyprolis royalties, partly offset by lower Avinza royalties following generic competition. Six-month material sales rose on purchase timing; Q2 sales declined versus the prior year on the same timing factor.
- Research and development expense was $2.7 million in Q2 and $5.8 million for the half; general and administrative expense was $5.2 million and $10.3 million. Both rose year over year, primarily due to higher stock-based compensation. First-half stock-based compensation was $5.1 million versus $2.6 million.
- Q2 and first-half 2014 income were below 2013 comparatives, which included Avinza sale-related gains of $2.4 million and $2.6 million, respectively. Q2 2014 results also included a $1.3 million net increase in contingent liabilities; the comparable 2013 quarter included a $2.7 million decrease. These fair-value changes can be volatile.
Cash, debt and liquidity
- At June 30, cash and cash equivalents were $14.5 million and short-term investments were $7.5 million. Working capital was approximately $10.0 million, compared with $24.9 million of current assets and $28.9 million of current liabilities at December 31, 2013.
- Total liabilities were $36.8 million, down from $55.1 million at year-end. Current notes payable were $2.7 million, including Viking’s convertible note; the remaining secured term loan principal was approximately $2.4 million at quarter-end. Ligand reported that it fully repaid the term loan on July 31, 2014.
- For the first half, operating cash flow was $6.6 million versus $9.0 million a year earlier; investing activities used $0.4 million versus $3.7 million; financing activities used $3.3 million versus $11.7 million. Cash increased $2.9 million to $14.5 million.
- Management said available cash, investments, and expected royalty, license, milestone, and Captisol revenue should fund anticipated operating and capital needs for at least 12 months. It expects cash to build, but said additional financing may be needed if revenue or cash flow falls short; no assurance was given that financing would be available on acceptable terms.
Business developments, outlook and risks
- Ligand reported a $1.0 million Kyprolis sales-based payment, a $1.0 million payment associated with FDA approval of Merck’s Captisol-enabled NOXAFIL IV, and a $0.2 million payment following FDA acceptance of Lundbeck’s IV carbamazepine NDA. It also received a $0.2 million Sage amendment payment and a $0.1 million Omthera project development fee.
- The Omthera collaboration may generate up to $44.5 million in specified development, regulatory, and event-based payments, plus tiered royalties. Ligand licensed five programs to Viking and extended a $2.5 million convertible loan facility. Viking filed an IPO registration statement on July 1; it had not been declared effective as of the report date. Ligand also received 125,000 upfront TG Therapeutics shares, initially valued at $1.2 million.
- Management provided no numerical revenue or earnings guidance. It cited expected royalty growth, Captisol sales, new approvals, licenses, and milestone revenues as potential cash-flow drivers, with discretionary expense reductions as a fallback if results disappoint. R&D cost and completion estimates were not provided.
- Key risks include reliance on Promacta, Kyprolis and Captisol-related revenue; Captisol’s single supplier; partner control over development and commercialization; clinical, regulatory and patent uncertainty; generic competition; and potential financing needs. One customer represented 92% of receivables at June 30, although most of that balance had been collected.
- Ligand remains legally liable to Organon if Pfizer defaults on Avinza-related co-promotion payments; the related receivable and liability were each $0.8 million. Lease obligations totaled $11.8 million before expected sublease receipts. A securities case was dismissed but on appeal; a separate attorney-fee lawsuit filed in June 2014 had an undetermined outcome.
- Q2 comprehensive income attributable to Ligand shareholders was a loss of $4.3 million, principally reflecting an unrealized loss on available-for-sale securities. The company held $7.5 million of such investments at June 30. Management reported effective disclosure controls and no material change in internal control over financial reporting, apart from controls related to consolidating Viking.

- Future fair-value changes and cash payments for CyDex and Metabasis contingent liabilities, including revenue-sharing obligations.
