Material changes versus Q1 2011
- Revenue increased about 45%, led by higher PROMACTA royalties and increased collaborative and licensing revenue, including approximately $1.0 million net from the DARA license to Retrophin. Lower CAPTISOL material sales partly offset growth.
- Operating loss narrowed to $0.77 million from $1.48 million. R&D expense rose by $0.83 million, primarily from increased project spending and CyDex intangible-asset amortization.
- Net income fell from $10.03 million to $1.38 million. Q1 2011 included a $13.6 million income-tax benefit related to the CyDex acquisition; Q1 2012 included the AVINZA discontinued-operations gain.
- Cash from operations moved from $0.91 million provided to $0.37 million used. Investing activities provided $3.95 million, mainly from investment maturities/sales, while financing activities used $0.84 million.
- The company borrowed an additional $7.5 million from Oxford in January and used debt proceeds to reduce its Square 1 line balance. The Oxford facility was expanded to up to $30 million, with $2.5 million of additional capacity not drawn.
- Stockholders’ equity increased to $19.24 million from $8.65 million, including reclassification of $8.34 million of conditional-redemption shares to permanent equity after Pfizer reported termination of the covered compounds.
Outlook, risks, contingencies and unusual items
- Management said available cash, investments, and expected royalty, license, and milestone receipts should fund anticipated operating and capital needs for at least 12 months. It may reduce discretionary spending or seek financing if revenues or cash flows fall short. No numerical earnings or revenue guidance was provided.
- Ligand reported negative working capital and substantial accumulated losses. The company’s cash and short-term investments of $11.29 million were only modestly above the $10 million threshold cited in the CyDex CVR default provisions.
- The CyDex CVR liability was estimated at $12.3 million. Ligand disclosed a dispute with the former shareholders’ representative over 2011 payment calculations and an allegation that Ligand exceeded the agreement’s $35 million indebtedness limit. Ligand disagreed; unresolved claims could proceed to arbitration.
- Material weakness in internal control over financial reporting, related to accounting for significant non-routine transactions, meant disclosure controls were not effective at March 31, 2012. A controller had been added, but remediation was not yet complete; prior interim periods had required restatement.
- Key business risks include reliance on partner royalties—particularly PROMACTA and AVINZA—partner decisions and product approvals, CAPTISOL’s sole-source supplier, patent protection, and the need for additional capital if operating cash flow is insufficient. Management noted carfilzomib’s FDA advisory review was scheduled for June 2012 and GSK was preparing a supplemental application for PROMACTA.
- Other commitments include operating lease obligations of $23.50 million before expected sublease receipts, CAPTISOL supply commitments, Metabasis research funding commitments, and annual CyDex investment requirements. The filing reports no off-balance-sheet arrangements.
Important facts for investors to verify
- Progress and resolution of the CyDex CVR dispute, including compliance with its indebtedness and cash thresholds and potential additional payments.
- Quarterly cash needs, debt service, bank-line collateral requirements, and whether cash and investments remain adequate under the CVR provisions.
- Reliability and growth of partner royalties and CAPTISOL sales, including PROMACTA developments, AVINZA trends, and supply continuity from the sole-source manufacturer.
- Completion and testing of internal-control remediation following the disclosed material weakness and prior restatements.
- Actual costs and timing of lease, research-investment, and other contractual commitments, and whether additional financing or equity issuance becomes necessary.
