- Sales increased across all reported regions: Americas $35.2m (+10%), Europe, Middle East and Africa $14.4m (+17%), and Asia Pacific $3.8m (+44%). Approximately 42% of sales were outside the U.S.; biologics represented 51% of worldwide sales.
- Management attributed sales growth mainly to higher average selling prices, elevated hospital procedure volumes, additional sales representatives and $1.3m of porcine-patch distribution sales. Allograft preservation services, carotid shunts and bovine vascular patches also contributed to growth.
- Gross-margin improvement reflected greater manufacturing efficiency, partly offset by higher excess-and-obsolescence charges and lower-margin product mix, including allograft preservation services and porcine patches.
- Operating expenses rose 8% to $24.8m. Sales and marketing increased 7%, general and administrative increased 14% (primarily outside services and professional fees), and R&D increased 6%. No restructuring expense was recorded, versus $0.3m in Q1 2023.
Cash, liquidity and obligations
- At March 31, 2024, cash and cash equivalents were $26.6m and short-term marketable securities were $81.7m, totaling $108.3m in cash and securities. Current assets were $203.0m and current liabilities $26.8m.
- Operating cash flow was $5.1m; capital expenditures were $1.4m, implying approximately $3.7m of operating cash flow less capital expenditures. Working capital used $9.9m, including increases in receivables ($5.8m) and inventory and deferred costs ($3.5m).
- Investing activities used $2.4m, primarily for property and equipment and marketable securities. Financing activities provided less than $0.1m: option-exercise proceeds largely offset the $3.6m cash dividend.
- The balance sheet reports no borrowings. Lease liabilities totaled $18.9m ($2.5m current and $16.4m long-term); future noncancelable lease commitments are disclosed in the filing. Management believes available cash, investments and interest income will cover anticipated requirements for at least 12 months and known long-term requirements.
- Short-term marketable securities had a $1.3m unrealized loss attributed to rising market interest rates. The company authorized a $50m share repurchase program through February 21, 2025, but reported no purchases under that program to date. Separately, 5,850 shares were withheld/repurchased to meet employee tax obligations.
Outlook, commentary and notable items
- The filing provides no specific numerical revenue or earnings guidance. Management describes growth opportunities in direct sales, pricing, new territories, product introductions and acquisitions; it also cautions that results may fluctuate and that recent profitability may not be maintained.
- The company began implementing a new ERP system in February 2024 and transitioned its U.S. operations to Microsoft Dynamics D365 in Q1; European implementation is expected in 2025. Approximately $4.0m of ERP costs had been capitalized. Management expects changes to processes and internal controls as implementation progresses; disclosure controls were assessed as effective at reasonable assurance levels.
- PhasTIPP launched in the U.S. in April 2024. The company expects U.S. distribution of Burlington-produced CardioCel and VascuCel patches in Q2 2024; the European MDR CE-mark process is expected to take 18–30 months.
- Foreign exchange had a less-than-$0.1m favorable estimated effect on Q1 sales versus prior-year exchange rates. The company identifies currency and interest-rate changes as market risks and had not used currency derivatives in 2024 or recent years.
- Other items to monitor include $1.247m of acquisition-related contingent liabilities, $525,000 of unrecognized tax benefits, and the possibility of payment related to the Anteris CE-mark contingency if approvals are not obtained by January 2025. Management said no known legal matter as of May 10, 2024 was expected to materially adversely affect financial position, results or cash flows; no material changes to previously disclosed risk factors were reported.
- The quarterly dividend increased to $0.16 per share from $0.14. A further $0.16 dividend was approved after quarter-end, payable May 30, 2024.
