Long-term debt, net and other borrowings were $561.7 million, including $575.0 million principal of 2.625% convertible notes due 2027. The $350.0 million revolving facility was undrawn at year-end. The company reported compliance with its credit covenants and stated that cash, operating cash generation and revolver access should cover requirements for the next twelve months and beyond.

Material changes and unusual items

  • Revenue increased 38.6%, primarily from higher PYLARIFY and DEFINITY sales volume and a $15.0 million RELISTOR sales milestone.
  • Net income and operating results included substantial unusual items. Lantheus recorded a $132.0 million noncash AZEDRA impairment ($116.4 million in cost of goods sold and $15.6 million in R&D) and a $6.0 million long-lived-asset impairment. It discontinued AZEDRA production and promotion, with limited manufacturing planned into Q1 2024 to support existing patients.
  • The company sold its RELISTOR royalty rights for approximately $98.0 million in initial proceeds and recorded a $51.8 million gain. It retained certain sales milestones and earned a $15.0 million milestone in Q4. It also may receive another $5.0 million if a specified 2025 sales threshold is met.
  • FY2022 included a $260.0 million upfront payment for the POINT product licenses, which drove the much higher prior-year R&D expense. FY2023 R&D was $77.7 million, down from $311.7 million.
  • Other income included the RELISTOR sale gain and $19.6 million of interest income. Interest expense rose to $20.0 million from $7.2 million, mainly following the 2022 convertible-note issuance.

Outlook, management commentary and key risks

  • PYLARIFY: Management described continued growth potential but highlighted competition and reimbursement uncertainty. Medicare outpatient transitional pass-through payment status is expected to expire December 31, 2024; under current policy, payment could then be bundled with the imaging procedure. CMS had not adopted separate-payment alternatives in its 2024 payment rulemaking.
  • PNT2002: The Phase 3 SPLASH trial met its primary endpoint: median radiographic progression-free survival was 9.5 months versus 6.0 months for control (HR 0.71; p=0.0088). Interim overall-survival data were immature, with 46% of target events reached and HR 1.11. More mature data were expected in 2024 before a potential NDA submission; approval and commercialization are not assured.
  • PNT2003: The FDA accepted the ANDA for filing in January 2024. Novartis entities sued over alleged patent infringement. Litigation could delay approval, potentially through a statutory stay of up to 30 months; the company believes it may qualify for 180 days of generic marketing exclusivity if approved.
  • Other pipeline and partnerships: GE Healthcare filed an NDA for flurpiridaz; Lantheus anticipated possible commercialization in the second half of 2024, subject to approval. MK-6240 was acquired in 2023 and is being used in more than 90 Alzheimer’s clinical trials. The company also planned a patient study for LNTH-1363S in 2024.
  • Capital allocation and strategic transactions: In January 2024, Lantheus agreed to pay $28 million for options involving Perspective Therapeutics programs and bought a 10.74% Perspective stake for approximately $20.8 million, with rights to increase ownership. Perspective also agreed to acquire the Somerset facility, subject to closing conditions. A CEO transition to Brian Markison was announced for March 1, 2024.
  • Principal operating risks: Dependence on third-party manufacturing and supply, including fragile global Mo-99 availability; just-in-time distribution of short-lived products; competition and possible generic entry; reimbursement and regulatory changes; clinical, approval and commercialization risks; and debt obligations. Mo-99 supply agreements with IRE and NTP/ANSTO run through December 31, 2024.
  • The filing provides no specific consolidated revenue or earnings guidance. Management stated its liquidity was sufficient for the next twelve months and beyond based on current plans.

Important facts for investors to verify

  • Track PYLARIFY demand, competitive share and CMS/private-payor reimbursement developments ahead of the expected end of TPT status.
  • Review final SPLASH overall-survival results and the timing, content and regulatory progress of any PNT2002 NDA.
  • Monitor the PNT2003 patent case, potential FDA approval timing, manufacturing readiness and the asserted first-applicant exclusivity eligibility.
  • Assess recurring earnings and cash generation separately from the RELISTOR gain and milestone, AZEDRA impairment, prior-year POINT payment and other nonrecurring items.
  • Confirm renewal or replacement of Mo-99 supply arrangements expiring in 2024 and assess any supplier or logistics interruptions.
  • Review the terms and completion status of the Perspective agreements, Somerset facility sale and planned CEO transition.
  • Consider the $575 million convertible notes due 2027, conversion and refinancing exposure, contingent license milestones and royalties, and covenant headroom.
  • The independent auditor issued an unqualified opinion on the financial statements and internal controls. The filing identified AZEDRA impairment valuation as a critical audit matter.
