Lexeo Therapeutics, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. The filing was dated March 11, 2024. Lexeo is a clinical-stage genetic medicine company with no products approved for sale and no product-sales revenue. Unless stated otherwise, financial amounts below are in U.S. dollars.
Financial performance and position
| Metric | 2023 | 2022 | Change |
|---|---|---|---|
| Revenue | $0 | $0.7 million, entirely grant revenue | Grant revenue ended as underlying grants wound down |
| Research and development expense | $53.1 million | $49.2 million | Up $4.0 million |
| General and administrative expense | $15.4 million | $12.0 million | Up $3.4 million |
| Operating loss | $68.5 million | $60.5 million | Loss increased $8.0 million |
| Net loss | $66.4 million | $59.3 million | Loss increased $7.1 million |
| Net cash used in operating activities | $59.5 million | $54.6 million | Cash use increased $4.9 million |
| Cash and cash equivalents at year-end | $121.5 million | $77.3 million | Up $44.1 million |
- Interest income was $2.9 million, versus $1.3 million in 2022, partially offsetting operating losses. The filing reports no income tax expense and a full valuation allowance against deferred tax assets.
- Operating expenses exceeded revenue in both years; conventional operating or net margins are not meaningful for this pre-revenue company.
- Year-end total assets were $139.8 million and total liabilities were $26.3 million. Liabilities included $9.9 million of operating lease obligations and $1.8 million of finance lease obligations. The $4.0 million Sarepta SAFE note converted into common stock in connection with the IPO; it was not outstanding at year-end.
- Cash flow from financing was $103.8 million in 2023, primarily from $100.3 million of net IPO proceeds and $3.9 million of net SAFE proceeds. Restricted cash was $3.3 million and is separate from cash and cash equivalents.
Business and material developments
- LX2006: In the Phase 1/2 SUNRISE-FA trial for Friedreich’s ataxia cardiomyopathy, cardiac biopsies from three patients showed increased frataxin after treatment. The company expects additional interim data in mid-2024. The filing also describes preliminary findings from a separate Weill Cornell-sponsored study; those small, early observations are not controlled efficacy evidence.
- LX1001: The Phase 1/2 Alzheimer’s trial in APOE4 homozygous patients completed enrollment in Q4 2023. Earlier cohort data showed APOE2 expression and trends in cerebrospinal-fluid biomarkers. Additional interim data across cohorts were expected in the second half of 2024.
- LX2020: The FDA cleared the IND in July 2023 and granted Fast Track and Orphan Drug designations in December 2023 for PKP2-associated arrhythmogenic cardiomyopathy. Lexeo expected first-patient dosing in H1 2024 and a cohort 1 interim readout in H2 2024.
- Earlier-stage programs: Lexeo planned IND-enabling work for LX2021 in 2024, candidate selection for LX2022 and LX1020 in 2024, and an FDA pre-IND meeting for LX1021 in 2024. These were plans, not achieved milestones.
- Lexeo reported a strategic investment from Sarepta in August 2023 to explore collaboration opportunities in its preclinical cardiovascular pipeline. Its research collaboration agreement with Weill Cornell expired in January 2024, and Lexeo said it had not entered a replacement agreement as of the filing.
Outlook, liquidity and risks
- Management expects significant operating losses and rising R&D, G&A and capital needs as trials and development programs advance. The company has never generated product-sales revenue and expects to need substantial additional funding.
- At December 31, 2023, Lexeo had $121.5 million of cash and cash equivalents. On March 11, 2024, it entered an agreement to sell 6,278,905 shares at $15.13 per share, for approximately $95.0 million gross, with closing expected March 13 subject to customary conditions. Management estimated that existing cash plus those anticipated proceeds would fund planned operations and capital requirements into 2027; the estimate depends on assumptions and the financing’s completion. The financial-statement notes separately state that cash on hand was sufficient for at least 12 months from issuance of the statements.
- Key risks include clinical and regulatory uncertainty; possible serious gene-therapy or administration-related adverse events; trial enrollment and manufacturing constraints; reliance on third-party manufacturers, CROs and academic collaborators; competition; and the need for further capital. Fast Track and Orphan Drug designations do not assure approval or faster development.
- Rocket Pharmaceuticals sued Lexeo and two individuals in October 2023, alleging trade-secret misappropriation and seeking unspecified damages and an injunction that could restrict Lexeo’s cardiac gene-therapy activities. Lexeo’s motion to dismiss was pending; the company said it could not estimate a possible loss.
- Lexeo cited four cases of hepatocellular carcinoma in wild-type mice in one LX2006 preclinical study. The filing says the human relevance is uncertain; any clinical safety signal could affect development.
- The company is newly public, and about 61.9% of year-end shares were subject to IPO lock-ups scheduled to expire April 30, 2024, subject to exceptions or waiver. It also disclosed Rule 10b5-1 trading plans adopted by its CEO and Chief Medical Officer in December 2023.

- Whether Lexeo established a replacement research arrangement with Weill Cornell and how that affects relevant programs.
