Material changes versus prior year

  • Revenue fell 8.5%, mainly as liquidity-services revenue declined 60.8% to HK$2.63 million and quotes/news/package subscriptions fell 31.8% to HK$2.46 million. The company attributed the liquidity-services decline primarily to a large customer testing replacement trading signals at lower volume.
  • Initial setup, installation and customization revenue rose 25.7% to HK$8.97 million; hosting/support and white-label revenue also increased. Subscriptions were broadly flat.
  • Cost of revenue fell 15.2%, faster than revenue, lifting gross margin by 3.5 percentage points to 56.2%. Management attributed the margin improvement partly to lower outsourcing costs and more implementation work handled internally.
  • Operating expenses rose 3.7% to HK$11.28 million, including HK$3.37 million of IPO expenses in 2023. Operating income declined 11.4%; net income declined 2.8%.
  • Cash decreased HK$5.25 million. Net operating cash flow remained positive but declined 16.1% from 2022. Net cash used in financing increased to HK$10.89 million, while bank borrowings declined by HK$3.69 million.
  • Accounts receivable, net, increased to HK$2.58 million from HK$1.13 million. The credit-loss allowance rose to HK$1.50 million, including HK$998,020 of 2023 adjustments.

Outlook, risks and unusual items

  • Management expects to fund operations from operating cash flows and IPO proceeds and stated that available cash, operating cash flow, bank facilities and IPO proceeds should cover working-capital needs for the 12 months after the report date. It cautioned that adverse conditions or accelerated growth could require additional financing; no detailed revenue or earnings guidance was provided.
  • Growth priorities include continued platform development, regional and customer-base expansion, sales and marketing investment, and a planned proprietary platform for algorithmic traders. These are plans, not quantified forecasts.
  • The April 2024 IPO, after the reporting date, sold 1,666,667 shares at US$4.50 each, raising US$7.5 million gross and approximately US$5.7 million net. Shares began Nasdaq trading under MFI on April 22, 2024. No dividends are expected in the foreseeable future.
  • Management reported material weaknesses in financial-reporting controls: insufficient accounting personnel and expertise, no functional internal audit function, and inadequate segregation of duties. Disclosure controls were deemed ineffective at December 31, 2023. Management described remediation efforts; the auditor did not attest to internal-control effectiveness.
  • Substantially all operations and revenue are in Hong Kong. The filing highlights regulatory and political uncertainty involving Hong Kong and the PRC, potential restrictions on cross-border cash transfers, customer demand and market volatility, competition, technology and talent needs, and share-price and listing risks. Counsel advised that CSRC filing or other PRC approvals were not required as of the report date, but future applicability remains uncertain.
  • Gaderway Investments Limited held approximately 68.27% of voting power as of the report date. Related-party matters include revenue and commissions involving an affiliated company, a HK$306,110 interest-free payable to Gaderway, and personal guarantees by directors for bank loans.
  • The company reported foreign-exchange trading transaction volume of about US$4.1 million in 2023, down sharply from US$1.45 billion in 2022, and said it reduced trading amid market volatility. The reported 2023 realized and fair-value losses totaled HK$9,965.
  • The auditor gave an unqualified opinion on the 2022 and 2023 consolidated financial statements. The filing reports no material litigation as of the report date; a 2021 contractual dispute was settled for HK$2.6 million.

Most important facts for investors to verify

  • Whether revenue and cash generation recover after the 2023 decline, particularly liquidity-services and data-subscription revenue, and whether the reduced trading activity affects future results.
  • Cash conversion, collections and credit quality: receivables rose while the credit-loss allowance reached HK$1.50 million; review customer balances and subsequent collections.
  • Liquidity and debt service: negative working capital at year-end, scheduled loan and lease payments, and the actual use and remaining balance of IPO proceeds.
  • Progress and evidence of remediation of the disclosed material weaknesses, including staffing, internal audit capability and segregation of duties.
  • Exposure to controlling-shareholder influence, related-party transactions and director personal guarantees; confirm governance safeguards and transaction terms.
  • Any changes in Hong Kong/PRC regulatory requirements, cash-transfer conditions, Nasdaq listing status or auditor-inspection access.
