Revenue increased 39% year over year, while total costs and expenses rose to $17.8 million from $13.9 million. Operating loss was about 21% of revenue, versus about 31% a year earlier. The filing does not report a product gross margin. Q1 operating cash generation included a $20.0 million Servier receipt and a $9.4 million increase in deferred revenue; it should not be read as evidence of operating profitability.

Cash and cash equivalents were $198.7 million at March 31, up from $116.5 million at year-end. The company reported $202.4 million in current assets and $29.4 million in current liabilities. Total liabilities were $57.0 million, including deferred revenue and lease-related liabilities; no borrowings are reported in the presented balance sheet. February’s follow-on offering generated $76.7 million net proceeds. Management estimated that cash plus anticipated collaboration payments would fund development of specified programs into 2017, assuming collaborations advance as planned.

Material developments and outlook

  • Collaborative research revenue rose by $4.3 million; grant revenue declined by $0.2 million. Revenue gains included a $5.0 million Servier milestone, a $1.3 million Green Cross accounting adjustment, and higher Boehringer revenue, partly offset by changes in recognition periods and lower Pfizer revenue.
  • R&D expense increased 45%, chiefly from margetuximab Phase 3 preparation and planned DART clinical studies. Margetuximab R&D expense rose to $3.8 million from $1.0 million.
  • Servier exercised its MGD006 option and paid a $15.0 million license fee; the company also recognized a $5.0 million MGD006 IND-related milestone. The license fee is deferred and recognized over an expected 82-month development period.
  • Green Cross amended its margetuximab agreement. The modification required reassessment of the arrangement and resulted in $1.3 million of additional Q1 revenue. The amended agreement provides for up to $5.5 million in eligible cost reimbursement and up to $2.5 million in development and commercial milestones.
  • Management expected to start a Phase 3 potential registration trial of margetuximab for advanced gastroesophageal cancer in the second half of 2014; begin MGD006 Phase 1 in Q2 2014 and MGD007 Phase 1 in the second half of 2014; and complete the first three MGA271 dose-expansion cohorts by year-end 2014. Two other proprietary candidates were also expected to enter Phase 1 during 2014, with two preclinical DART oncology candidates targeted for IND submission and Phase 1 starts in 2015.
  • The company expected to increase R&D spending as clinical and preclinical programs progress. It had not generated product-sales revenue and stated that future milestone receipts were uncertain and dependent on program progress.

Risks, contingencies, and items to verify

  • Clinical, regulatory, commercialization, collaboration-funding, intellectual-property, competition, financing, and execution risks could delay or prevent development and approvals; the filing cautions that forward-looking statements are uncertain.
  • The company disclosed no material litigation matters with a reasonably possible material loss. It reported no off-balance-sheet arrangements and no material change in internal control; management assessed disclosure controls as effective at a reasonable-assurance level.
  • Lease commitments totaled approximately $19.8 million under the disclosed schedule. The manufacturing-facility lease was extended through 2019, and an additional four-year lease became effective April 1, 2014.
  • Verify clinical-trial start and enrollment progress, regulatory milestones, collaboration option exercises and cost-sharing receipts, and whether expected funding supports the stated development runway.
  • Verify the sustainability of cash generation: Q1 operating cash flow benefited from collaboration receipts and deferred revenue, while the company remained loss-making and planned higher R&D spending.
  • Verify revenue-recognition assumptions and deferred-revenue balances, particularly the Servier development-period estimates and the Green Cross modification adjustment.
  • Year-over-year loss-per-share comparison is affected by the October 2013 IPO and February 2014 follow-on offering, which substantially increased shares outstanding.
