Material Changes Versus Prior Comparable Period
- Nine-month sales increased 15%, led by North America, where sales increased 18%; APAC increased 13% and EMEA increased 5% on a reported basis.
- Q3 North America sales increased 4%, with software up 17% and services up 14%, while hardware declined 1%. EMEA sales were approximately flat on a reported basis, and APAC sales increased 19%.
- Q3 consolidated gross margin expanded approximately 90 basis points, primarily due to a greater contribution from higher-margin services. Nine-month gross margin contracted approximately 20 basis points.
- Selling and administrative expenses increased 10% in both Q3 and the first nine months, reflecting higher personnel costs, headcount, variable compensation, and third-party transformation costs.
- Operating cash flow deteriorated to an outflow of $205.9 million from $117.8 million, driven primarily by working-capital investment associated with sales growth, particularly hardware, and changes in partner mix.
- Debt increased substantially from $361.6 million at December 31, 2021 to $784.3 million at September 30, 2022, principally due to higher ABL borrowings used to fund working capital.
- In July 2022, the ABL facility was expanded from $1.2 billion to $1.8 billion and its maturity was extended to July 2027.
- On June 1, 2022, Insight acquired Hanu Software Solutions for approximately $68.2 million in cash, excluding a potential earn-out of up to $20.0 million and approximately $8.5 million of holdbacks. Preliminary goodwill recorded was approximately $72.1 million.
- The company repurchased 270,080 shares for approximately $25.0 million during the first nine months and had approximately $300.0 million remaining under its repurchase authorization at quarter-end.
Cash Flow, Liquidity, and Capital Allocation
Cash, cash equivalents, and restricted cash increased by $32.7 million during the first nine months to $138.7 million, supported by $377.5 million of financing cash inflows. Investing cash use was $126.2 million, including the Hanu acquisition and $59.3 million of capital expenditures.
The cash conversion cycle increased to 46 days in Q3 2022 from 37 days in Q3 2021. Days sales outstanding increased to 111 from 104, and days inventory outstanding increased to 15 from 11. Management expects operating cash flow, existing cash, and available financing to support operations and expected commitments over the next 12 months. Full-year 2022 capital expenditures were expected to be $65 million to $70 million.
Guidance, Outlook, Risks, and Unusual Items
- Supply constraints and extended lead times persisted for networking and infrastructure products and could affect results into Q4 2022 and 2023. Device constraints had eased.
- Management expected possible growth in networking and infrastructure products late in 2022, while overall hardware growth could decline.
- Seasonality generally produces higher sales and profitability in the second and fourth quarters, so interim results may not represent full-year performance.
- The company continues to face risks from inflation, higher interest rates, recessionary conditions, foreign exchange volatility, the Russia-Ukraine conflict, COVID-19 developments, supply-chain disruptions, cybersecurity incidents, partner incentives, and changes in public-sector spending.
- Foreign currency translation produced a $49.3 million comprehensive loss for the first nine months, compared with a $6.2 million loss in the prior-year period. Q3 other expense included foreign currency losses.
- Adoption of ASU 2020-06 changed the accounting for the convertible notes. Management reported that the adoption increased Q3 diluted EPS by $0.06 and nine-month diluted EPS by $0.17 compared with the prior accounting method.
- The convertible notes were not convertible at the holder’s option through December 31, 2022 because the market-price trigger was not met. The notes mature in February 2025.
- The company disclosed ongoing tax audits for years 2015 through 2020, legal matters associated with the acquired PCM business, performance bonds of approximately $27.7 million, and indemnification obligations. Management did not believe these matters were probable of producing material losses at quarter-end, but legal outcomes remain uncertain.
