Material changes versus the prior comparable period
- North America sales rose 5% to $780.7 million, driven by higher hardware and software volume; services sales declined 14%.
- EMEA sales were essentially flat in U.S. dollars at $387.9 million but declined 5% excluding foreign currency effects. Hardware increased while software and services declined.
- APAC sales declined 4% in U.S. dollars to $45.9 million but increased 6% excluding foreign currency effects.
- Gross margin improved in all three segments, supported by product mix, vendor funding and profitability initiatives.
- Selling and administrative expenses increased only 1% to $142.4 million and declined to 11.7% of sales from 11.9%.
- Severance and restructuring expense fell to $0.3 million from $2.7 million, materially benefiting operating earnings.
- Interest expense declined 10% to $1.5 million, primarily due to lower average debt balances and lower imputed interest on inventory financing.
- Average diluted shares declined to 41.9 million from 45.1 million, reflecting share repurchases and share withholding, which supported EPS growth.
- The effective tax rate increased because Q1 2013 included discrete tax benefits related to uncertain tax positions and lower foreign taxes.
Guidance, outlook, risks and unusual items
- The largest software partner changed its channel incentive program. Management expects $15 million to $20 million less in incentives in full-year 2014 versus 2013 and intends to offset the impact through new business and cost-reduction actions.
- Full-year 2014 capital expenditures are expected to be $15 million to $20 million, primarily for IT systems, facility and technology upgrades.
- Management expects operating cash flow and available financing to support operating needs and strategic investments for at least the next 12 months. Excess cash is expected to support debt reduction, share repurchases, capital expenditures and potentially small acquisitions.
- The company repurchased 1.15 million shares for $26.7 million during the quarter under a $50 million authorization; approximately $15.5 million remained available at March 31, 2014. The company does not intend to pay cash dividends in the foreseeable future.
- In April 2014, the company began final negotiations to relocate operations from its owned Bloomingdale, Illinois property. It expects to vacate by year-end 2014 and anticipates a non-cash impairment loss of approximately $5 million in the quarter ending June 30, 2014.
- Several subsidiaries are under tax audits for years 2006 through 2012. The company had approximately $4.7 million of unrecognized tax benefits, but could not estimate the range of potential outcomes.
- A legal proceeding involving the former Calence subsidiary and the federal E-Rate program remained pending before the Fifth Circuit. The company disputes the claims, is seeking contractual indemnification and cannot estimate any possible loss.
- Key risks include dependence on technology and software partners, partner incentive changes, competition, rapid technology changes, IT-system disruptions, international operations, contract compliance, cybersecurity, tax matters, litigation and acquisition integration.

- Outcomes of the tax audits and the Calence-related litigation, including potential indemnification recoveries.
- The effect of share repurchases on liquidity, leverage and future per-share results.
