For the nine months, revenue increased about 16%, but gross margin declined 0.7 points and operating income and attributable net income fell. Nine-month results included higher acquisition-related amortization and interest expense, and a higher income tax provision versus a tax benefit in the prior-year period.
Operating cash flow was $313.4 million for the nine months, versus $318.8 million. Capital expenditures were $204.8 million, versus $163.0 million; operating cash flow less capital expenditures was approximately $108.6 million. Cash and cash equivalents were $556.8 million at October 2, 2015, and short-term investments were $0.8 million. Management reported $614.7 million of working capital including cash and investments, but $57.1 million excluding them.
Total debt, including current maturities, was $1,407.7 million, compared with $1,192.6 million at year-end 2014; cash and short-term investments were $557.6 million. Current debt maturities were $539.3 million. Management said cash, operating cash flow and available credit were expected to fund operating and capital needs for at least 12 months. Approximately $241.5 million of cash and investments was available in the United States; some foreign cash was intended to remain indefinitely reinvested.
Material changes and business developments
- Image Sensor revenue rose to $189.4 million from $103.6 million in the quarter, mainly reflecting Aptina. Application Products revenue increased 4%; Standard Products declined 2%; System Solutions declined 13% amid competition and weaker product demand. Image Sensor was the largest source of nine-month revenue growth, reflecting Aptina and Truesense.
- Management attributed revenue growth in part to acquisitions and favorable volume and mix, partly offset by approximately 8% lower average selling prices in both the quarter and nine-month period.
- ON issued $690 million of 1.00% convertible notes due 2020, amended its revolving credit facility to increase capacity from $800 million to $1.0 billion, repaid $350 million drawn on the facility, and borrowed $50 million under Philippine term loans. The notes carry an initial conversion price of $18.50 per share; related warrants have a $25.96 exercise price.
- The company repurchased 28.4 million shares for approximately $328 million during the nine months, including $70 million repurchased in connection with the notes offering. About $648.2 million remained authorized under the repurchase program at quarter-end.
Outlook, commentary, risks and unusual items
For Q4 2015, management forecast revenue of approximately $830 million to $870 million and gross margin of 32.6% to 34.6%. Quarter-end backlog represented approximately 80% to 85% of anticipated Q4 revenue. Management cited WSTS estimates of approximately 4% compound annual growth in ON’s addressable market for 2015–2017, while noting these were third-party estimates, not company projections.
- Management described the semiconductor market as cyclical and said it continued cost and capacity management. After quarter-end, it identified an additional 90–100 positions for termination and expected $4 million to $5 million of related Q4 charges. Previously announced workforce reductions and a European marketing relocation also remained in progress.
- Nine-month cash flow included a $38.4 million write-down of excess inventory. The company also recorded $3.8 million of impairment charges for canceled in-process research and development projects. Management reported no goodwill impairment trigger as of October 2, but warned that deteriorating markets or assumptions could lead to future impairment.
- Key risks include price erosion, demand and inventory cycles, competition, foreign-exchange exposure, supply and manufacturing disruptions, acquisition integration, and substantial debt. A hypothetical 10% currency-rate change was estimated to affect pretax income by approximately $48.5 million before hedges or correlated offsets. A 50-basis-point interest-rate increase was estimated to raise annual interest expense by approximately $2.0 million.
- The filing notes previously issued 2014 interim financial statements were revised for errors management judged immaterial to prior periods. The comparative 2014 figures in this filing reflect those revisions. Management reported disclosure controls were effective and no material change in internal control during the quarter.
- The Collabo patent litigation was settled through a license agreement in September 2015; the fee was described as not material. Management said other legal and environmental matters were not expected to have a material effect, while noting litigation outcomes remain uncertain.
